Excess Allocations definition

Excess Allocations mean the excess of the Tax Net Capital Gain allocated under Section 3(a) to holders of SCUs and holders of Common Units received on a conversion or redemption of SCUs in connection with allocations of Net Capital Gain under Section 1(c) over the Special Tax Distribution made to such Partners. A distribution shall be treated as an Extraordinary Return of Capital Distribution to the extent that such distribution is reasonably attributable to (x) Net Financing Proceeds or (y) proceeds allocable to a transaction generating Net Capital Gain allocated pursuant to Section 1(c); in either case limited to the excess of the Tax Net Capital Gain allocated under Section 3(a) to holders of SCUs and holders of Common Units received on a conversion or redemption of SCUs in connection with allocations of Net Capital Gain under Section 1(c) over the Special Tax Distributions made to such Partners.
Excess Allocations has the meaning assigned to such term in Section 6.1(c)(i)(B).

Examples of Excess Allocations in a sentence

  • Excess Allocations must be corrected in accordance with section 6.06(2).

  • Excess Allocations include Excess Amounts as defined in section 5.01(3)(a) (i), (ii), (v), and (vi) (except with respect to § 401(m) or 411(a)(3)(G) violations).

More Definitions of Excess Allocations

Excess Allocations means for any period all allocations of overhead and other charges and expenses to the Company, Vegas and their respective subsidiaries from Parent or any of its other Affiliates during such period except to the extent such allocations (i) replace operating expenses incurred directly by the Company and Vegas prior to the Closing Date (“Replaced Expenses”) and (ii) do not exceed the amount of such Replaced Expenses plus the CPI Increase for such Fiscal Year.

  • REMIC II Interest Loss Allocation Amount With respect to any Distribution Date, an amount equal to (a) the product of (i) 50% of the aggregate Stated Principal Balance of the Mortgage Loans and REO Properties then outstanding and (ii) the REMIC II Remittance Rate for REMIC II Regular Interest AA minus the Marker Rate, divided by (b) 12.

  • Percentage Allocation is defined in Section 4.3(b)(ii)(y).

  • REMIC 2 Interest Loss Allocation Amount With respect to any Distribution Date, an amount equal to (a) the product of (i) the aggregate Stated Principal Balance of the Mortgage Loans and related REO Properties then outstanding and (ii) the Uncertificated REMIC 2 Pass-Through Rate for REMIC 2 Regular Interest LTAA minus the Marker Rate, divided by (b) 12.

  • Required Allocations means (a) any limitation imposed on any allocation of Net Losses or Net Termination Losses under Section 6.1(b) or 6.1(c)(ii) and (b) any allocation of an item of income, gain, loss or deduction pursuant to Section 6.1(d)(i), 6.1(d)(ii), 6.1(d)(iv), 6.1(d)(vii) or 6.1(d)(ix).

  • Tax Allocations means the allocations set forth in paragraph 4 of Exhibit B.

  • Taxable Allocation means, with respect to any Series, the allocation of any net capital gains or other income taxable for federal income tax purposes to a dividend paid in respect of such Series.

  • distribution losses means energy losses that result from the interaction of intrinsic characteristics of the distribution network such as electrical resistance with network voltages and current flows;
