Excess Expense Amount. Section 8.8(b)
Excess Expense Amount shall have the meaning set forth in Section 3.4(a).
Excess Expense Amount means the amount by which the aggregate fees and expenses (including Third Party Expenses, as defined in Section 5.4 hereof) incurred by the Company in connection with the Merger exceed $100,000.
