Excess Free Cash Flow definition

Excess Free Cash Flow means the amount, for each Series, in each calendar year, that the Free Cash Flow is in excess any Preferred Return (and any Preferred Return that accrued with respect to a prior calendar year but has not yet been distributed).
Excess Free Cash Flow means, for any Excess Cash Flow Period, an amount, if positive, equal to (i) the amount of net cash provided by operating activities as shown on Xxxxxx Publishing’s consolidated cash flow statements for such period plus (ii) any Working Capital Balance on the relevant Cash Flow Determination Date resulting from any drawdown under any revolving credit facility, including the Working Capital Facility, to the extent such Working Capital Balance is not either included in clause (i) of this definition or used in compliance with the provisions of this Indenture prior to the delivery of the OfficersCertificate required under Section 3.11(b) with respect such Excess Cash Flow Period less (iii) the Cash Flow Adjustments during such Excess Cash Flow Period.
Excess Free Cash Flow. The amount by which the Free Cash Flow of the US Operations exceeds (a) the Invested Capital plus (b) the cumulative Excess Free Cash Flow in all prior years for which a Participation Amount has previously been paid.

  • In addition, for each Series, the Company intends, but is not required, to distribute any additional amounts to the Economic Members on a quarterly basis, where such additional amounts may be credited to the Preferred Return that accrues for that year (including for periods that occur after the distribution is made) or that accrued for a prior year, with any excess being credited to the amount of Excess Free Cash Flow distributed under Section 7.01(b)(ii).

  • For each calendar year, unless otherwise specified in the Series Designation, each Series shall pay the relevant Managers or their Affiliates a service fee (the “Service Fee”) equal to 50% of the Excess Free Cash Flow of that Series (half of which shall go to the relevant Asset Manager, and half of which shall go to the Administrative Manager).

  • The term of Holdings’ right to participate in the Excess Free Cash Flow of the US Operations under this Agreement will be perpetual, beginning in the fiscal year of the Excess Free Cash Flow Date and extending in perpetuity, unless this Agreement is earlier terminated as provided in subparagraph 3(b) hereof.
