Excluded Period definition

Excluded Period means any period during which the Company is entitled to suspend trading of the Common Stock by any Investor pursuant to Section 4(f) pertaining to a "Negotiation Event" (as therein defined), Section 5(f) or due to a transfer by the Investor contemplated by Section 10(g).
Excluded Period means, with respect to any additional amount payable under Section 2.12, the period ending 120 days prior to the applicable Lender’s delivery of a certificate referenced in Section 2.12(a) or 2.12(b), as applicable, with respect to such additional amount.
