Exempt PUA Award has the meaning set forth in Section 5.3(a).
409A Award means an Award that constitutes a “deferral of compensation” within the meaning of the 409A Regulations, whether by design, due to a subsequent modification in the terms and conditions of such Award or as a result of a change in applicable law following the date of grant of such Award, and that is not exempt from Section 409A of the Code pursuant to an applicable exemption.
Restricted Award means any Award granted pursuant to Section 7.2(a).
Section 162(m) Award means a Performance Award granted under Section 6(k)(i) to a Covered Employee that is intended to satisfy the requirements for “performance-based compensation” within the meaning of Section 162(m).
3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.
Restricted Share Award means an award of Restricted Shares.
Deferred Stock Award means Awards granted pursuant to Section 8.
Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.
Company Restricted Stock Award means each award with respect to a share of restricted Company Common Stock outstanding under any Company Stock Plan that is, at the time of determination, subject to forfeiture or repurchase by the Company.
Restricted Share Unit means the right granted to a Participant pursuant to Article 7 to receive a Share at a future date.
Company Restricted Stock Unit means any restricted stock unit award subject to service-based vesting, payable in shares of Company Common Stock or the value of which is determined with reference to the value of shares of Company Common Stock, whether granted under a Company Stock Plan or otherwise.
Unrestricted Stock Award means an Award of shares of Stock free of any restrictions.
Phantom Stock Award means an Award granted under Paragraph X of the Plan.
Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.
Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).
Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.
Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.
Share Award means an Award of Shares granted pursuant to Section 10.
Restricted Stock Award means an award of shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(a).
Stock Unit means a bookkeeping entry representing the equivalent of one Common Share, as awarded under the Plan.
Deferred Share Unit or “DSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 7;
Performance Award means any right granted under Section 6(d) of the Plan.
Cash-Based Award means an Award entitling the recipient to receive a cash-denominated payment.
Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).
Notification of Award means the official notice issued by the Employer notifying the Contractor that his bid has been accepted.
Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.
Plan Share Award or "Award" means a right granted to a Participant under this Plan to earn or to receive Plan Shares.
