Exercise Cost definition

Exercise Cost means the administrative cost that will be borne by the Warrant Holder upon its exercise of a Warrant as set out in Warrant Condition (8)f.
Exercise Cost means a fee of 0.35% of the value of the sale, subject to a minimum of £20 payable to Computershare by any person giving postal instructions to sell all or some of their Rights through the Service;

Examples of Exercise Cost in a sentence

  • An amount based on the Fair Market Value of the Warrant (plus, if already paid, the Actual Exercise Price, the Exercise Cost and the Exercise Expenses) will be paid as a minimum to compensate the Warrant Holder.

  • If the Warrants are so cancelled the Issuer will pay an amount to each Warrant Holder in respect of each Warrant held by him which amount shall be the Fair Market Value of a Warrant taking into account the De-Listing, Merger Event, Insolvency, Tender Offer or Nationalisation, as the case may be, plus, if already paid, the Actual Exercise Price, the Exercise Cost and the Exercise Expenses, all as determined by the Calculation Agent.

  • Each guide states the objective of the experiment, any prerequisites (for example, the completion of tutorials related to the software), a short summary of the experiment, a brief background with a general description of the real-life process and relevant insights such as process details, oper- ating conditions and kinetic data.

  • If the Warrants are so cancelled the Issuer will pay an amount to each Warrant Holder in respect of each Warrant held by him which amount shall be the Fair Market Value of a Warrant taking into account the Additional Disruption Event, as the case may be, plus, if already paid (when such Additional Disruption Event occurs after the initiation of the Exercise by the Warrant Holder), the Actual Exercise Price, the Exercise Cost and the Exercise Expenses, all as determined by the Calculation Agent.

  • The Exercise Form for the exercise of the Option must be duly completed by the Participant and must be accompanied by payment for the Aggregate Exercise Cost in respect of the Shares for which that Option is exercised and any other documentation which the Committee may require.

  • The methods used to calculate costs for the four Exercise Cost elements are the same, regardless of the “Exercise Type” selected, Figure F-1 provides the default Exercise Type and funding category assigned in PEBFT.

  • Level III Tabletop Exercise Cost (including all selected Contractor staff travel, per-diem, incidental expenses and deliverables) for one hundred twenty – two hundred (120-200) participants that are grouped at a maximum of ten (10) tables.

  • Level I Tabletop Exercise Cost (including all selected Contractor staff travel, per-diem, incidental expenses and deliverables) for forty (40) participants or less that are grouped around one (1) large u-shaped table or a maximum of two (2) tables.

  • Full-Scale Exercise Cost (including all selected Contractor staff travel, per-diem, incidental expenses and deliverables).

Related to Exercise Cost

  • Exercise Amount has the meaning set forth in Section 2(a).

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Base Year Value means the assessed value of eligible property January 1 preceding the execution of the agreement plus the agreed upon value of eligible property improvements made after January 1 but before the execution of the agreement.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Exercise Payment means the amount of money equal to the Exercise Price multiplied by the number of Optioned Shares specified in the Notice of Exercise;

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Exercise Price Per Share ; hereinafter "Exercise Price" means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Warrant Exercise Price means $0.01 per share.

  • Warrant Value means the fair value of all warrants, options and other similar rights issued to a third party in connection with an Other Financing, determined by using a standard Black-Scholes option-pricing model using an expected volatility percentage as shall be mutually agreed by the Investor and the Company. In the case of a dispute relating to such expected volatility assumption, the Investor shall obtain applicable volatility data from three investment banking firms of nationally recognized reputation, and the parties hereto shall use the average thereof for purposes of determining the expected volatility percentage in connection with the Black-Scholes calculation referred to in the immediately preceding sentence.   • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Exercise Valuation Date means the first Scheduled Trading Day of the month following the expiry of 35 calendar days after the Exercise Date. For the avoidance of doubt, the 35 calendar day period is mandatory and non-waivable by either the Issuer or the Holder.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date.

  • Date of Exercise means the date on which the Holder shall have delivered to the Company: (i) the Exercise Notice (with the Warrant Exercise Log attached to it), appropriately completed and duly signed and (ii) if such Holder is not utilizing the cashless exercise provisions set forth in this Warrant, payment of the Exercise Price for the number of Warrant Shares so indicated by the Holder to be purchased.

  • Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.

  • Option Price means the price at which a Share may be purchased by a Participant pursuant to an Option.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2024-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2024-1 Vehicle for which the related 2024-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2024-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Grant Price means the price established at the time of grant of a SAR pursuant to Article 7, used to determine whether there is any payment due upon exercise of the SAR.

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Purchase Price Per Share means $0.01 per share, as may be adjusted from time to time in accordance with Section 5 or 6.

  • Exercise Expenses means any charges or expenses including any taxes or duties which are incurred in respect of the exercise of the Warrants;

  • SAR Value means the excess of the Fair Market Value (on the exercise date) over the exercise price that the participant would have otherwise had to pay to exercise the related Stock Option, multiplied by the number of shares for which the Stock Appreciation Right is exercised.

  • Price Per Share shall have the meaning ascribed to such term in Section 2.1.

  • Closing Price Per Share means, with respect to the Common Stock, for any day, (i) the last reported sale price regular way on the Nasdaq National Market or, (ii) if the Common Stock is not quoted on the Nasdaq National Market, the last reported sale price regular way per share or, in case no such reported sale takes place on such day, the average of the reported closing bid and asked prices regular way, in either case, on the principal national securities exchange on which the Common Stock is listed or admitted to trading, or (iii) if the Common Stock is not quoted on the Nasdaq National Market or listed or admitted to trading on any national securities exchange, the average of the closing bid prices in the over-the-counter market as furnished by any New York Stock Exchange member firm selected from time to time by the Company for that purpose.

  • SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.
