Existing Affiliate Transactions definition

Existing Affiliate Transactions has the meaning assigned in Section 7.08.

Existing Affiliate Transactions means any transaction between the Company or any Subsidiary and any Affiliates of any of the foregoing contemplated by the Plan and in the agreements listed on Schedule I.

Existing Affiliate Transactions means: (1) any loan or advance permitted under Section 5.12(i); and (2) transactions between the Borrower or any Consolidated Subsidiary and one or more of LRG Furniture, LLC, Zenith Freightlines, LLC, The Accessory Group, Ltd., the Bassett Asset Fund and IHFC, which transactions are in accordance with applicable laws, in the ordinary course of business, consistent with the practices of the Borrower and the Consolidated Subsidiaries on the Closing Date and pursuant to reasonable terms no less favorable to the Borrower or such Consolidated Subsidiary than would be obtained in a comparable arm’s length transaction with a person which is not an Affiliate.

Existing Affiliate Transactions means the transactions set forth on Schedule 15 (Existing Affiliate Transactions).
