Existing DIP Credit Agreement definition

Existing DIP Credit Agreement means the debtor-in-possession credit agreement, dated as of January 20, 2012, among the Company, the Subsidiaries of the Company party thereto, the lenders party thereto and Citicorp North America, Inc., as administrative agent and collateral agent, as amended, restated or supplemented and after the date hereof as amended, restated or supplemented in accordance with the terms of this Agreement.

Existing DIP Credit Agreement has the meaning set forth in the Introductory Statement.

Examples of Existing DIP Credit Agreement in a sentence

• Unless otherwise specifically defined herein, each term used herein which is defined in the Existing DIP Credit Agreement has the meaning assigned to such term in the Existing DIP Credit Agreement.

• This Agreement shall not constitute a novation or repayment of the obligations and liabilities existing under the Existing DIP Credit Agreement or evidence payment of all or any of such obligations and liabilities.

Existing DIP Credit Agreement means that certain Debtor-In-Possession Credit Agreement, dated as of August 5, 2009 (as amended, restated, supplemented or otherwise modified from time to time, including by that certain First Amendment to Debtor-In-Possession Credit Agreement, dated August 31, 2009, that certain Second Amendment and Limited Waiver to Debtor-In-Possession Credit Agreement, dated September 11, 2009 and that certain Additional Foreign Borrower Designation Agreement, dated as of December 2, 2009), Holdings, the U.S. Borrower, the Canadian Borrower, the German Borrower, the Lenders (as defined therein) from time to time party thereto, Deutsche Bank Trust Company Americas, as administrative agent for the Lenders (as defined therein) and the other agents party thereto.

Existing DIP Credit Agreement has the meaning specified in the recitals to this Agreement.

Existing DIP Credit Agreement means the Financing Agreement, dated as of February 25, 2004, among the Borrower, as the borrower, certain of the Existing DIP Lenders and the Existing DIP Agents, as the same has been amended prior to the date hereof.
