Existing Promoters definition

Existing Promoters means Sanjay Chamria, Mayank Poddar, Celica Developers Private Limited, Magma Consumer Finance Private Limited, Microfirm Capital Private Limited, Ashita Poddar, Kalpana Poddar, Mansi Poddar, and Shaili Poddar;

Existing Promoters means the present promoters of the Target Company viz. Mr. Sanjeev Arora, Mr. Kavya Arora, Ms. Sandhya Arora, Ms. Ketki Arora, Sanjeev Arora HUF, Ms. Guneet Arora, Ritesh Spinning Mills Limited and Femella Fashions Limited.

• Note: Post-completion of the Offer, the Existing Promoters and Promoters group will also continue to be part of promoters and Promoters group along with Acquirer and PACs, hence there is no requirement of compliance of Regulation 31A of SEBI LODR Regulations, 2015 w.r.t reclassification of existing promoters and Promoters group as public shareholders.

• The Existing Promoters of the company are intending to subscribe 1,50,30,606 Equity Shares in the proposed offer.

• The Offer is made to all the public shareholders (except the Acquirers, Existing Promoter(s) & Seller) whose names appeared in the register of shareholders on 13th October, 2022 and also to those persons who own shares any time prior to the closure of the Offer, but are not registered shareholders(s).

• In the event that Existing Promoters or any other lender, from whom we have availed, unsecured debt or which we may avail in the future, call in such loans/ debt, we would need to find alternative sources of financing, which may not be available on commercially reasonable terms or at all.

• All owners (registered or unregistered) of equity shares of the Target Company (except the Acquirers, Sellers and Existing Promoters) are eligible to participate in the Offer any time before the closure of the Offer.

• Accordingly, the Company, RSHPL and Existing Promoters recorded the terms and conditions on which RSHPL and the Existing Promoters’ relationship in respect of the Company was being governed pursuant to the shareholders agreement dated June 10, 2021 (“Shareholders Agreement/SHA”).SES VIEWThereafter, the Existing Promoters have further sold and transferred their shareholding in the Company and at present the Existing Promoters collectively hold 6.732% of the equity capital in the Company.
