The Securities and the Subsidiary Guarantees shall constitute “Senior Indebtedness,” and the Company and the Subsidiary Guarantors hereby designate the Securities and the Subsidiary Guarantees as “Designated Senior Indebtedness” of the Company and the Subsidiary Guarantors, for purposes of the Existing Subordinated Notes Indentures.

Existing Subordinated Notes means the outstanding 11-1/8% senior subordinated notes due 2007 issued pursuant to the Existing Subordinated Notes Indentures of aggregate principal amount: (a) Series A - $800,000; (b) Series B - $149.2 million; (c) Series D - $45 million; and (d) Series F - $87 million.
The Obligations constitute “Senior Debt” or “Senior Indebtedness”, as applicable, and “Designated Senior Debt” or “Designated Senior Indebtedness”, as applicable, under and as defined in, and for the purposes of, the Existing Subordinated Notes Indentures.
