Third Party Licensor means the relevant licensor of any Third Party Data or any Third Party Trade Xxxx;
Third Party License means licenses from third parties governing third party software embedded or used in the Trading Platform.
Third Party Licenses has the meaning set forth in Section 2.4.
Third Party Agreement means an agreement with an Underwriting Third Party and/or a Claims Third Party.
Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.
Intellectual Property License Agreement shall have the meaning set forth in Section 6.11.
End User License Agreement means a license grant or end user license agreement governing software as further described in this Agreement or any applicable Appendix.
Third Party Agreements means any Contract between or among a Party (or any member of its Group) and any other Persons (other than the Parties or any member of their respective Groups) (it being understood that to the extent that the rights and obligations of the Parties and the members of their respective Groups under any such Contracts constitute Versum Assets or Versum Liabilities, or Air Products Retained Assets or Air Products Retained Liabilities, such Contracts shall be assigned or retained pursuant to Article II).
Third Party IP means the Intellectual Property Rights of any third party that is not a party to this Contract, and that is not a Subcontractor.
Third Party IPR means any Intellectual Property Rights not belonging to either party to this Agreement but used by the Supplier in the creation of the Deliverables and/or in the course of or in connection with the Project.
Company Licensed IP means all Intellectual Property rights owned or purported to be owned by a third party and licensed to the Company or to which the Company otherwise has a right to use.
Assigned Patent Rights means all of the following, whether now owned or hereafter acquired or arising:
Company License Agreements means any license agreements granting any right to use or practice any rights under any Intellectual Property (except for such agreements for off-the-shelf products that are generally available for less than $25,000), and any written settlements relating to any Intellectual Property, to which the Company is a party or otherwise bound; and the term “Software” means any and all computer programs, including any and all software implementations of algorithms, models and methodologies, whether in source code or object code.
Patent License Agreement means the Patent License Agreement substantially in the form of Exhibit C.
Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, Product IP, and Licensor’s rights in the Program IP and Joint Patents.
Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;
Sublicense Agreement means any agreement or arrangement pursuant to which Licensee (or an Affiliate or Sublicensee) grants to any third party any of the license rights granted to the Licensee under the Agreement.
Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).
Licensed Patent Rights means:
Third Party Infringement has the meaning set forth in Section 5.1.
Software License Agreement means the particular Software License Agreement to which these Terms and Conditions are attached and incorporated into by reference.
Technology License Agreement means the Technology License Agreement dated as of the date hereof between Allergan and ASTI.
Company Licensed Intellectual Property means all Intellectual Property that is licensed to the Company or a Subsidiary by any third party.
Licensee Parties has the meaning ascribed to such term in Section 5.1.
Licensed IP means the Intellectual Property owned by any person other than the Corporation and to which the Corporation has a license which has not expired or been terminated;
Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.
