The Extension Option Agreement Date, as such term is used in Section 2.11 of the Credit Agreement, is the date of this Agreement.
Second Extension Option shall have the meaning set forth in Section 2.6.1 hereof.
Extension Option shall have the meaning set forth in Section 2.5(c) hereof.
First Extension Option shall have the meaning set forth in Section 2.2.1(b) hereof.
Put Option Agreement has the meaning set forth in the recitals.
Extension Agreement means an Extension Agreement, in form and substance reasonably satisfactory to the Administrative Agent, among the Company, the Administrative Agent and one or more Extending Lenders, effecting an Extension Permitted Amendment and such other amendments hereto and to the other Loan Documents as are contemplated by Section 15.1.1.
Non-Extension Notice Date has the meaning specified in Section 2.03(b)(iii).
Termination Option means the option of either party to terminate a transaction in the event that the other party fails to perform a Firm obligation to deliver Gas in the case of Seller or to receive Gas in the case of Buyer for a designated number of days during a period as specified on the applicable Transaction Confirmation.
Second Extension Period means the period of one (1) Contract Year commencing immediately after the end of the First Extension Period.
First Amendment Date means February 21, 2019.
Third Amendment Date means June 23, 2020.
Second Amendment Date means February 26, 2019.
Non-Extension Notice has the meaning specified in Section 2.10.
Second Amendment Effective Date has the meaning assigned to such term in the Second Amendment.
Fifth Amendment Effective Date shall have the meaning provided in the Fifth Amendment.
Seventh Amendment Effective Date shall have the meaning provided in the Seventh Amendment.
First Amendment Effective Date has the meaning assigned to such term in the First Amendment.
Fourth Amendment Effective Date has the meaning assigned to such term in the Fourth Amendment.
Tenth Amendment Effective Date has the meaning assigned to such term in the Tenth Amendment.
Renewal Option has the meaning set forth in §12.1.
Sixth Amendment Effective Date shall have the meaning provided in the Sixth Amendment.
Eleventh Amendment Effective Date has the meaning set forth in Section 4 of the Eleventh Amendment.
Third Amendment Effective Date shall have the meaning provided in the Third Amendment.
Put Agreement means an agreement dated as of August 13, 2008, as amended, among the Company, OT LLC and Rio Tinto Alcan.
Lock-Up Agreement means the Lock-Up Agreement, dated as of the date hereof, by and among the Company and the directors and officers of the Company, in the form of Exhibit B attached hereto.
Termination Agreement has the meaning set forth in the Recitals.
Fourth Amendment Date means April 30, 2021.
