Facility Capital Fund definition

Facility Capital Fund means the fund established by the Tenant for the Facility as provided in Section 12(b) hereof for Facility Capital Projects pursuant to this Lease.
Facility Capital Fund means the account established pursuant to Section 12 of the Live! Lease, defined as the “Facility Capital Fund” therein.

  • Capital Projects.Section 12 establishes the Facility Capital Fund and requires all ticket surcharges for Facility Events, including Landlord Events, to be deposited in the fund.

  • New language has been added that any cost savings with respect to the $77,700,000 in City Funds budgeted to pay for Infrastructure will now be placed in the Facility Capital Fund.

  • Note that in the recent revision, the Fl-GA game period is not longer a Landlord right of use period and as mentioned above, the City only receives 50% of Net Revenue.The revised lease does allow Landlord to charge for a Landlord Event and retain revenues from ticket sales however Tenant retains all other revenue from Landlord Events (but per Section 12 Landlord’s ticket revenue is deposited in the Facility Capital Fund).

  • Landlord shall have the right at Tenant’s designated offices to audit all of Tenant’s books and records pertaining to the Facility Capital Fund and/or Ticket Surcharges.

  • International shipments may require that an Electronic Export Information, or EEI, (formerly called a Shipper’s Export Declaration (SED)) is filed with the U.S. Customs and Declaration Bureau and is used to control exports and act as a source document for export statistics.

  • If such audit shall disclose any error in the deposits in the Facility Capital Fund or the determination of the Ticket Surcharges, Landlord shall provide Tenant with a copy of the audit, and an appropriate adjustment shall be made forthwith.

  • Venture capital fund means a private fund that meets the definition of a venture capital fund in SEC Rule 203(l)-1, 17 C.F.R. § 275.203(l)-1.

  • Equity Capital means capital invested in common or preferred stock, royalty rights, limited partnership interests, limited liability company interests, or any other security or rights that evidence ownership in a private business.

  • Minimum capital or "minimum required capital" means the capital that must be constantly maintained by a stock insurance corporation as required by statute.

  • PIPE Investment Amount has the meaning specified in Section 6.16.

  • Net Capital Net Capital shall mean "net capital" as defined in Rule 15c3-1.

  • Investment Management Fee means each of the Senior Investment Management Fee, the Subordinated Investment Management Fee and the Incentive Investment Management Fee.

  • CET1 Capital means, as of any Balance Sheet Date, the aggregate amount, in Swiss francs, of items that constitute common equity tier 1 capital of the Group as of such Balance Sheet Date, less any deductions from common equity tier 1 capital required to be made, in each case as determined by the Group Holding Company pursuant to the BIS Regulations applicable to the Group Holding Company as of such Balance Sheet Date, and as (i) disclosed in the Quarterly Financial Accounts published on the relevant Ordinary Publication Date or (ii) may be disclosed as a component of the Reviewed Interim Measurement published upon the instruction of the FINMA on the relevant Extraordinary Publication Date, as applicable. For the avoidance of doubt, the term "common equity tier 1 capital" as used in this definition has the meaning assigned to such term in the BIS Regulations in effect as of the relevant Balance Sheet Date.

  • GE Capital Fee Letter means that certain letter, dated as of the Closing Date, between GE Capital and Borrower with respect to certain Fees to be paid from time to time by Borrower to GE Capital.

  • Loan Fund means the special fund created by the RECIPIENT for the repayment of the principal of and interest on the loan. “Loan Security” means the mechanism by which the RECIPIENT pledges to repay the loan.

  • Net Capital Proceeds means the net cash proceeds received by the Partnership in connection with (i) any Sale, (ii) any borrowing or refinancing of borrowing(s) by the Partnership, (iii) any condemnation or deeding in lieu of condemnation of all or a portion of any Property, (iv) any collection in respect of property, hazard, or casualty insurance (but not business interruption insurance) or any damage award; or (v) any other transaction the proceeds of which, in accordance with generally accepted accounting principles, are considered to be capital in nature, in each case, after deduction of (a) all costs and expenses incurred by the Partnership with regard to such transactions (including, without limitation, any repayment of any indebtedness required to be repaid as a result of such transaction or which the General Partner elects to pay out of the proceeds of such transaction, together with accrued interest and premium, if any, thereon and any sales commissions or other costs or expenses due and payable to any Person in connection therewith, including to a Partner or its Affiliates), and (b) all amounts expended by the Partnership for the acquisition of additional Properties, Mortgages or other investments or for capital repairs or improvements to any Property with such cash proceeds.

  • Aggregate Capital means, on any date of determination, the aggregate amount of Capital of all Purchaser Interests outstanding on such date.

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Liquidity Capitalization means the number, as of immediately prior to the Liquidity Event, of shares of the Company’s capital stock (on an as-converted basis) outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding: (i) shares of Common Stock reserved and available for future grant under any equity incentive or similar plan; (ii) any SAFEs; and (iii) convertible promissory notes.

  • Average Invested Capital means the average of invested capital as of December 31, 2023 and the invested capital as of December 31, 2024 where the invested capital is defined as the sum of the Company’s long-term debt plus the current portion of long-term debt, less cash, cash equivalents and investments, plus stockholder equity.

  • Sales finance company means that term as defined in section 2 of the motor vehicle sales finance act, MCL 492.102.

  • Charter Capital means Charter Communications Holdings Capital Corporation, a Delaware corporation, and any successor in interest thereto.

  • Finance Company means any Finance Company or other lender with whom You have agreed a Loan or credit agreement through the Supplying Outlet.

  • Unit Capital means the aggregate of the face value of units issued under the scheme and outstanding for the time being.

  • Capital Increase has the meaning given in clause 3.2(a);

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Investment Amount means the dollar amount to be invested by Investor to purchase Put Shares with respect to any Put as notified by the Company to Investor in accordance with Section 2.2.

  • Investment Management Agreement or IMA means the Investment Management Agreement (IMA) dated December 9, 2002, executed between UTI Trustee Company Private Limited and UTI Asset Management Company Limited.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.
