The Independent Accountant shall make a determination of the Final Working Capital Adjustment Amount within 20 Business Days following appointment by the Purchaser and the Sellers and such determination shall be binding on the parties.

If the Final Working Capital Adjustment Amount is a negative number, Parent shall be paid such Final Working Capital Adjustment Amount (plus simple interest on such amount at an annual rate of interest of 1.25% from the Closing Date through the date of payment) pursuant to the indemnification provisions in Section 8.1(a).
