First Call Price definition

First Call Price means the price for Eclipse’s Membership Interests being purchased in the First Call obtained by multiplying the Company’s Enterprise Value as set forth in the First Call Matrix by the Percentage Interest represented by such Membership Interests.
First Call Price means the call price in the Issuer must pay in relation to its exercise of the Call Option pursuant to paragraph (a)(ii) under Clause 10.2 (Voluntary early redemption – Call Option), being 102.50 per cent. of the Nominal Amount.
First Call Price has the meaning set forth in Section 8.1(a).

Examples of First Call Price in a sentence

  • Simultaneous with the conveyance of the Inforte First Call Units, Inforte shall pay to PKI the Inforte First Call Price.

  • PCTEL shall pay the First Call Price in cash to Eclipse on the First Call Closing Date.

  • At any time during the First Call Period, PCTEL may issue a notice to Eclipse (a “First Call Notice”) requiring it to sell to PCTEL Membership Interests equal to 19% of the Percentage Interests at the First Call Price (the “First Call”).

  • At the closing, any Shareholder selling his Shares shall deliver to Numerex certificates for the Shares owned by such Shareholder, duly endorsed for transfer, and Numerex shall pay the First Call Price or the Second Call Price, as applicable, to such Shareholder by certified check or wire transfer in accordance with the terms set forth in Section 6.

  • Upon the occurrence of any adjustment of the First Call Price, the Equity Value or the Put Price pursuant to Section 3.5 or 4.6, HTI at its expense promptly shall furnish to each Securityholder a certificate signed by the Chief Financial Officer of HTI disclosing the First Call Price, Equity Value or Put Price, as the case may be, as adjusted, and the basis upon which such adjustment was made.

  • The price of the Shares to be sold upon the exercise of the First Call ("First Call Price") shall be determined in accordance with the formula set forth below.
