First Common Stock definition

First Common Stock means the maximum number of shares of Common Stock issuable at the First Closing to Purchaser in compliance with any and all Laws and without the requirement for the prior receipt of the Stockholder Approval under the listing requirements of the Nasdaq Global Market, assuming that Warrants to purchase an equal number of shares of Common Stock are also issued to Purchaser at the First Closing.

  • Elections shall be made by holders of Frankfort First Common Stock by mailing to the Exchange Agent a Form of Election.

  • From and after the Effective Time, the holders of Frankfort First Certificates outstanding immediately prior to the Effective Time shall cease to have any rights with respect to such shares of Frankfort First Common Stock except as otherwise provided in this Agreement or by Law.

  • No greater than 10% of the outstanding shares of Frankfort First Common Stock entitled to vote at the Frankfort First Special Meeting as is contemplated in Section 2.13 herein shall have delivered the written notice of intent to demand payment pursuant to Section 262 of the DGCL.

  • Shareholders who are not Representatives must make a single election for all shares of Frankfort First Common Stock held by them.

  • The Exchange Agent in its fiduciary capacity shall have certified receipt of the aggregate Merger Consideration for all shares of Frankfort First Common Stock to be acquired hereunder.

  • Frankfort First shall use its best efforts to maintain the listing of Frankfort First Common Stock on the NASDAQ National Market System through the Effective Time.
