First Expansion Commencement Date definition

First Expansion Commencement Date will be the first to occur of (i) ninety (90) days following the date on which possession of New Premises I is tendered to Tenant for the performance of Tenant’s Work (the “First Access Date”), and (ii) substantial completion of Tenant’s New Premises I Work, and (iii) the date on which Tenant commences use of New Premises I for the conduct of Tenant’s business. Upon the occurrence of the First Expansion Commencement Date, each party shall enter into a letter agreement substantially in the form of Exhibit B-1 hereto, confirming the First Expansion Commencement Date. The failure of either party to enter into such a letter agreement shall have no effect on the occurrence of the First Expansion Commencement Date as provided herein. All terms and conditions of the Lease will apply to New Premises I from and after the First Access Date, including without limitation all insurance and indemnification obligations, except that Tenant shall not be required to pay Basic Rent or additional rent with respect to New Premises I prior to the First Expansion Commencement Date.

Examples of First Expansion Commencement Date in a sentence

  • Effective as of the First Expansion Commencement Date, as defined below, the Short-Term Premises shall be expanded to include an additional 12,355 rentable square feet of space in the Building (the “First Expansion Space”).

  • Tenant will give Landlord written notice of Tenant's election to exercise the First Option, which notice shall designate the First Expansion Premises, at least twelve (12) months, but not more than fourteen (14) months, prior to the First Expansion Commencement Date.

First Expansion Commencement Date is the date upon which possession of the First Expansion Space is delivered to Tenant."

First Expansion Commencement Date means the earlier of (a) the date of Substantial Completion of the Tenant's Improvements for the First Expansion Space, or (b) the date the Tenant's Improvements for the First Expansion Space would have been substantially completed in accordance with the definition of Substantial Completion but for Tenant Delays.
First Expansion Commencement Date shall be deemed to be the earlier of: (a) the date Tenant, or any person occupying any portion of the First Expansion Space, commences business operations from the First Expansion Space; or (b) the first (1st) business day following the date of Landlord’s delivery of the First Expansion Space to Tenant.
First Expansion Commencement Date shall be the day Landlord tenders possession of the First Expansion Premises to Tenant with the First Expansion Improvements Substantially Complete. If delivery of possession is delayed by any action or inaction of Tenant or its agents, employees or contractors, then the First Expansion Commencement Date shall be the date that the First Expansion Commencement Date would have occurred but for such delay. Tenant shall execute and deliver to Landlord written acknowledgment of the actual First Expansion Commencement Date within ten (10) days after Tenant takes occupancy of the First Expansion Premises, in the form attached as Exhibit C hereto. Failure to execute and deliver such acknowledgment, however, shall not affect the First Expansion Commencement Date or Landlord’s or Tenant’s liability hereunder. Failure by Tenant to obtain validation by any medical review board or other similar governmental licensing of the First Expansion Premises required for the Permitted Use by Tenant shall not serve to extend the First Expansion Commencement Date.
First Expansion Commencement Date shall be December 1, 2010 and on such date, the Existing Premises shall be expanded to include approximately 10,242 rentable square feet of the Expansion Premises. The “Second Expansion Commencement Date” shall be June 1, 2011 and on such date, the Premises shall be expanded to include the remaining approximately 10,241 rentable square feet of the Expansion Premises. The Term of the Lease for the Expansion Premises shall expire eight (8) years and one (1) month from the First Expansion Commencement Date and the “Lease Expiration Date” (as set forth in Section 1.1 of the Lease) shall be defined as December 31, 2018.
First Expansion Commencement Date means the later of (i) December 1, 2013 (the “First Expansion Target Date”), or (ii) the 120th day following the date on which Landlord delivers the First Expansion Premises to Tenant or such earlier date on which Tenant commences business operations within the First Expansion Premises. Landlord will use commercially reasonable efforts to deliver the First Expansion Premises to Tenant on or before October 1, 2013 (the “First Expansion Delivery Target Date”). In the event that Landlord does not deliver the First Expansion Premises to Tenant on or before the First Expansion Delivery Target Date, Base Rent allocable to the First Expansion Premises will be abated for an additional number of days following the First Expansion Delivery Target Date equal to two times the number of days beginning on the day following First Expansion Delivery Target Date until the day on which the First Expansion Premises are so delivered.
