Foreground Intellectual Property Rights definition

Foreground Intellectual Property Rights means any Intellectual Property Rights, except Background Intellectual Property Rights, developed by either Buyer or Seller during the course of the Contract that relate to the Product. Buyer is the owner of all Foreground Intellectual Property.
Foreground Intellectual Property Rights means any Intellectual Property Rights, except Background Intellectual Property Rights, (i) that are developed in whole or in part by Buyer alone, by Buyer and Seller jointly or by Seller alone, in connection with this Contract or (ii) relating to the Goods contracted.

  • Buyer and Seller will each retain ownership of any Foreground Intellectual Property Rights that are solely created or made by their respective employees, agents or subcontractors (“Personnel”) without material assistance of the other Party.

More Definitions of Foreground Intellectual Property Rights

Foreground Intellectual Property Rights means Intellectual Property Rights generated by a Party during the provision of the Project or prepared for use or intended use in relation to the performance of the Contract.
Foreground Intellectual Property Rights means any Intellectual Property Rights, except Background Intellectual Property Rights, (i) that are developed in whole or in part by Buyer alone, by Xxxxx and Seller jointly or by Seller alone, in connection with this Contract or (ii) relating to the goods or services contracted.
Foreground Intellectual Property Rights means the results, including data (e.g. hits), know-how and information, generated by the User project in Phase I (screening) or Phase II (hit-to-tool compound optimisation).
Foreground Intellectual Property Rights means any and all of the Intellectual Property Rights developed with respect to, or for incorporation into, the Goods, that are either developed by Pure alone, by Pure and ICC jointly, by ICC alone, or as requested in writing by Pure in connection with this Agreement.

Foreground Intellectual Property Rights means any and all Intellectual Property Rights developed for incorporation into the Goods that are either developed by Buyer alone, by Buyer and Seller jointly, or by Seller alone as requested by Buyer in connection with any Purchase Order, but excluding Background Intellectual Property Rights. Each party will retain exclusive ownership of its Background Intellectual Property Rights. Buyer does not transfer to Seller any of its Background Intellectual Property Rights, and Seller may not use the Buyer’s Background Intellectual Property Rights other than to produce and supply Goods to Buyer. Notwithstanding the other provisions of this Section 17, Seller grants Buyer any Background Intellectual Property Rights of Seller only to the extent that Buyer and its customers have the right to resell Goods or incorporateGoods purchased from Seller intofinished goods and to sell the same. All Foreground Intellectual Property Rights will be owned by Buyer. Seller hereby confirms the same and assigns to Buyer all of Seller’s right, title and interest in and to all Foreground Intellectual Property Rights. To the extent that any Foreground Intellectual Property Rights are copyrightable works or works of authorship (including computer programs, technical specifications, documentation and manuals), Seller assigns to Buyer the exclusive rights of use thereto. Seller may only use the Foreground Intellectual Property Rights to produce and supply Goods to Buyer.
