Foresight Energy Bonds definition

Foresight Energy Bonds means Indebtedness anticipated to be incurred on or around August 23, 2013 by Foresight Energy, LLC in an aggregate principal amount not exceeding $600,000,000 under an unsecured bond issuance with Xxxxxx Xxxxxxx, Citi, Barclays, JPMorgan, Xxxxxxx Sachs, Deutsche Bank and UBS Investment Bank acting as Joint Book- Running Managers, and any full or partial refinancings or add-on offerings thereof; provided that (a) the full amount of the obligations of Foresight Energy LLC thereunder shall be at all times jointly and severally guaranteed by each of Borrower, Hillsboro Energy LLC, Macoupin Energy LLC and Xxxxxxxxxx Energy, LLC and (b) each of such entity’s respective obligations under such guaranties shall be subject to the limitation that the amount thereof will not exceed an amount necessary so as to avoid rendering such entity insolvent.
Foresight Energy Bonds means Indebtedness anticipated to be incurred on or around August 12, 2010 by Foresight Energy, LLC in an aggregate principal amount not exceeding $400,000,000 under an unsecured bond issuance with Citi, Xxxxxxx Xxxxx, Xxxxxx Xxxxxxx, UBS Investment Bank and Crédit Agricole CIB acting as Joint Book-Running Managers, and any full or partial refinancings thereof in an aggregate principal amount not to exceed $400,000,000; provided that (a) the full amount of the obligations of Foresight Energy LLC thereunder shall be at all times jointly and severally guarantied by each of Borrower, Hillsboro Energy LLC, Macoupin Energy LLC and Xxxxxxxxxx Energy, LLC and (b) each of such entity’s respective obligations under such guaranties shall be subject to the limitation that the amount thereof will not exceed an amount necessary so as to avoid rendering such entity insolvent.”;

Examples of Foresight Energy Bonds in a sentence

  • Each of Borrower, the undersigned Lender (constituting all Lenders under the Credit Agreement as of the date hereof), Administrative Agent and Hermes Agent hereby agrees that Section 8.18 of the Credit Agreement is hereby amended by replacing the words “No later than 45 days following the earlier of the issuance of the Foresight Energy Bonds and the closing of the Foresight Energy Revolver,” in the first line thereof with the words “No later than October 15, 2010,”.

  • Renewable energy resources means energy derived from solar, wind, geothermal, biomass, and hydroelectricity. A fuel cell using hydrogen derived from these eligible resources is also an eligible electric generation technology. Fossil and nuclear fuels and their derivatives are not eligible resources.

  • Renewable energy facility means an electric generation unit or other facility or installation that produces electric energy using a Renewable Energy Source.

  • Renewable energy resource means a resource that naturally replenishes over a human, not a geological, time frame and that is ultimately derived from solar power, water power, or wind power. Renewable energy resource does not include petroleum, nuclear, natural gas, or coal. A renewable energy resource comes from the sun or from thermal inertia of the earth and minimizes the output of toxic material in the conversion of the energy and includes, but is not limited to, all of the following:

  • Renewable energy project means (A) a project

  • Eligible Renewable Energy Resource or “ERR” has the meaning set forth in California Public Utilities Code Section 399.12 and California Public Resources Code Section 25741, as either code provision is amended or supplemented from time to time.

  • Renewable Energy Certificates or “RECs” shall mean all of the Certificates and any and all other Environmental Attributes associated with the Products or otherwise produced by the Facility which conform with the eligibility criteria set forth in the applicable Rhode Island regulations and are eligible to satisfy the Renewable Energy Standard, and shall represent title to and claim over all Environmental Attributes associated with the specified MWh of generation from such Newly Developed Renewable Energy Resource.

  • renewable energy sources means renewable sources such as small hydro, wind, solar including its integration with combined cycle, biomass, bio fuel cogeneration, urban or municipal waste and other such sources as approved by the MNRE;

  • Renewable Energy Certificate or "REC" means a certificate

  • Renewable Energy Source means an energy source that is not fossil carbon-based, non- renewable or radioactive, and may include solar, wind, biomass, geothermal, landfill gas, or wave, tidal and thermal ocean technologies, and includes a Certified Renewable Energy Source.

  • Renewable Energy Credit has the meaning set forth in California Public Utilities Code Section 399.12(h) and CPUC Decision 00-00-000, as may be amended from time to time or as further defined or supplemented by Law.

  • Net energy metering means the difference between the kilowatt-hours consumed by a customer-generator and the kilowatt-hours generated by the customer- generator's facility over any time period determined as if measured by a single meter capable of registering the flow of electricity in two directions.

  • Net Energy The total quantity of electric energy (measured in kilowatt hours) produced by the Facility over a given time period and delivered to the Point of Interconnection, as measured by the revenue meter. "Net Energy" the equivalent of "Actual Output."

  • Renewable energy means the grid quality electricity generated from renewable energy sources;

  • Renewable energy system means a fixture, product, device, or interacting group of fixtures, products, or devices on the customer's side of the meter that use 1 or more renewable energy resources to generate electricity. Renewable energy system includes a biomass stove but does not include an incinerator or digester.

  • Energy recovery means the use of combustible packaging waste as a means to generate energy through direct incineration with or without other waste but with recovery of the heat;

  • Energy Resource means a generating facility that is not a Capacity Resource.

  • Renewable Energy Standard means the minimum renewable energy capacity portfolio, if applicable, and the renewable energy credit portfolio required to be achieved under section 28 or former section 27.

  • Renewable Energy Credits means a certificate, credit, allowance, green tag, or other transferable indicia, howsoever entitled, allocated, assigned or otherwise awarded or certified by any Governmental Authority, program administrator, certification board or similar entity in connection with the production or generation of each MWh of energy from the Project. For the avoidance of doubt, “Renewable Energy Credits” shall not include any ITC, State Renewable Energy Incentives or other tax benefits, credits, or incentives.

  • Energy facility means an energy plant or transmission

  • Solar energy means the sun used as the sole source of energy for producing electricity.
