Forest Stock Option definition

Forest Stock Option means an option to acquire Forest Common Stock granted pursuant to a Forest Incentive Plan that is held by a Continuing Spinco Employee as of the Effective Time.

  • Without limiting the scope of the preceding sentence, (i) all prior understandings and agreements, if any, among the parties hereto relating to the subject matter hereof are hereby null and void and of no further force and effect, and (ii) this Agreement and this Option replace the Forest Stock Option to the extent pertaining to the Unvested Forest Stock Option, and Employee shall have no right or claim against the Company or its Affiliates in respect of the Forest Stock Option.

  • Effective as of the Distribution Date, each Forest Stock Option held by a Spinco Employee who is eligible for retirement as of the Distribution Date under the terms of the Forest Stock Option agreement evidencing such option shall be 100% exercisable and such option shall be a Vested Forest Stock Option for purposes hereof.

  • Effective as of the Distribution Date, (a) each Spinco Employee shall not be considered to have terminated employment with respect to each Unvested Forest Stock Option held by such employee (and the applicable Forest Incentive Plan as it relates to such option) and (b) each Unvested Forest Stock Option held by such employee shall be subject to adjustment as provided in the Merger Agreement.

  • For the avoidance of doubt, each Forest Stock Option for which the exercise price per share of Forest Common Stock applicable to such Forest Stock Option equals or exceeds the Forest Stock Measurement Price shall be cancelled pursuant to this Section 2.4(a) for no consideration.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Company Stock Option Plan means each stock option plan, stock award plan, stock appreciation right plan, phantom stock plan, stock option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any stock, option, warrant or other right to purchase or acquire capital stock of the Company or right to payment based on the value of Company capital stock has been granted or otherwise issued.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Share Option Plan means any equity incentive plan of the General Partner, the General Partner Entity, the Partnership and/or any Affiliate of the Partnership.
