FRF Concentration Account definition

FRF Concentration Account shall have the meaning set forth in Section 2.22(c).
FRF Concentration Account has the meaning provided therefor in Section 2.23(d).
FRF Concentration Account has the meaning specified in the Credit Agreement, being Account No. 9392853475 at Fleet National Bank.

  • The Loan Account will be credited with all amounts received by the Administrative Agent from the Borrower or otherwise for the Borrower's account, including all amounts received in the FRF Concentration Account from the Blocked Account Banks, and the amounts so credited shall be applied as set forth in Section 2.24(a) or Section 6.03 of the Security Agreement or Facility Guarantors' security agreement, as applicable.

  • For purposes of clarity, until a Cash Dominion Event has occurred and has not been discontinued, the Borrower shall have full control and dominion over, and may use, any and all cash and Cash Receipts as the Borrower may determine in its sole discretion and shall not be required to deposit or transfer, or cause to be deposited or transferred, any cash or Cash Receipts into the FRF Concentration Account.

  • The FRF Concentration Account is, and shall remain, under the sole dominion and control of the Collateral Agent.

  • If any item deposited to the FRF Concentration Account and credited to the Loan Account is dishonored or returned unpaid for any reason, whether or not such return is rightful or timely, the Administrative Agent shall have the right to reverse such credit and charge the amount of such item to the Loan Account and the Borrower shall indemnify the Administrative Agent, the Collateral Agent, the Issuing Bank and the Lenders against all claims and losses resulting from such dishonor or return.

  • The Borrower acknowledges and agrees that (i) the Borrower has no right of withdrawal from the FRF Concentration Account, (ii) the funds on deposit in the FRF Concentration Account shall continue to be collateral security for all of the Obligations and (iii) the funds on deposit in the FRF Concentration Account shall be applied as provided in Section 2.24(a).

  • In that regard, World shall cause all Stage Proceeds or amounts otherwise due from World to SRLP, the Parent or their affiliates to be forwarded solely to the FRF Concentration Account (or as World may otherwise be directed by the Bank Agent) by automated clearinghouse or electronic transfer.

  • All Collections received by the Bank Agent in the FRF Concentration Account shall be paid or delivered by the Bank Agent to World in accordance with the provisions of Section 2.02 hereof.

  • Further, after the occurrence and during the continuance of a Cash Dominion Event, whether or not any Obligations are then outstanding, the Borrower shall cause the ACH or wire transfer to the FRF Concentration Account, no less frequently than daily, of the then entire ledger balance of each Blocked Account, net of such minimum balance, not to exceed $5,000, as may be required to be maintained in the subject Blocked Account by the bank at which such Blocked Account is maintained.

  • After the occurrence and during the continuance of a Cash Dominion Event, all amounts deposited in the DDAs and the Blocked Accounts shall, at the option of the Bank Agent, be delivered to the FRF Concentration Account.

  • On the date that any funds are transferred to the FRF Concentration Account, SRLP shall deliver a payment allocation to the Bank Agent and World indicating the respective amounts of such funds constituting (i) amounts collected with respect to the SRLP Retained Receivables or proceeds of other Collateral and (ii) Collections of Private Label Assets.
