Galaxy Transactions definition

Galaxy Transactions means, collectively, (a) the Galaxy Brands Merger and the related transactions pursuant to the applicable documentation relating thereto, (b) the entry into of the Loan Documents and the borrowings thereunder and (c) the refinancing of certain existing Indebtedness in connection therewith.

This definition and the application thereof is intended to monitor compliance with Section 355(e) of the Code and shall be interpreted accordingly. Any clarification of, or change in, the statute or Treasury Regulations promulgated under Section 355(e) of the Code shall be incorporated into this definition and its interpretation.
