Government Contract Novations definition

Government Contract Novations means, with respect to any Government Contract, an instrument reasonably satisfactory in form and substance to Purchaser pursuant to which all of each Seller's rights, claims, benefits and liabilities thereunder shall have been validly conveyed, transferred, assigned and novated to Purchaser by all parties thereto.

  • In case at any time after the Closing Date any further action is reasonably necessary or desirable to carry out the purposes of this Agreement, including obtaining any Government Contract Novations, the proper officers and directors of the Sellers and Purchaser shall take all such necessary action.

  • In the event any Governmental Entity requires Government Contract Novations, Seller and Seller's Parent shall cooperate with the PRC Companies to promptly obtain such Government Contract Novations and shall execute the novation agreements required by any Governmental Entity.

  • There shall have been obtained all consents, approvals and waivers (other than Government Contract Novations, which shall be sought after the Closing) from parties to Purchased Contracts and others that are required in connection with the transactions contemplated by this Agreement and the Seller Documents, including, without limitation, those set forth on Schedule 6.3, and the same shall be in full force and effect.

  • Buyer, Seller and Company acknowledge and agree that neither obtaining Government Contract Novations nor the written confirmations referred to in Section 4.11(b) from Governmental Entities that such Government Contract Novations are not required that are necessary to consummate the transactions contemplated hereby (including, but not limited to, the Contribution) will be a condition to the obligations of any of them to effect the Closing.

  • To the extent required by applicable Law, all Permits and Approvals required to be obtained from any Governmental Entity (other than Government Contract Novations) shall have been received or obtained on or prior to the Closing Date and any applicable waiting period under the Xxxx-Xxxxx-Xxxxxx Act shall have expired or been terminated.

  • The Contribution (other than any Government Contract Novations necessary in connection therewith) shall have been consummated without cost or obligation on the part of Company pursuant to documentation and procedures reasonably satisfactory to Buyer and its counsel.

  • Government Contracts has the meaning set forth in Section 3.09(a)(viii).

  • Covered Government support contractor means a contractor (other than a litigation support contractor covered by 252.204-7014) under a contract, the primary purpose of which is to furnish independent and impartial advice or technical assistance directly to the Government in support of the Government’s management and oversight of a program or effort (rather than to directly furnish an end item or service to accomplish a program or effort), provided that the contractor—

  • Government Subcontract means each contract between the Issuer or any of its Subsidiaries and any prime contractor or upper-tier subcontractor relating to a contract between such Person and any governmental entity, and each Bid with respect to Government Subcontracts.

  • Government Lists means, collectively, (i) the Specially Designated Nationals and Blocked Persons Lists maintained by OFAC, (ii) any other list of terrorists, terrorist organizations or narcotics traffickers maintained pursuant to any of the Rules and Regulations of OFAC, and (iii) any similar lists maintained by the United States Department of State, the United States Department of Commerce or any other governmental authority or pursuant to any Executive Order.

  • Labor peace agreement means an agreement between an entity and a

  • Procurement Contract or “Contract” means any written agreement of the Authority for the acquisition of goods or services of any kind in the actual or estimated amount of $25,000, or more.

  • Government Authorizations means all such approvals, consents, authorizations, acknowledgements, licenses or permits required to be issued by any Government Authority to the Company for the establishment of the Company or to the Company or the Contractors for the construction, financing, ownership, operation, and maintenance of the Facility by the Company or the Contractors, including, without limitation, those Government Authorizations listed in Schedule 1;

  • Government List means any of (i) the two lists maintained by the United States Department of Commerce (Denied Persons and Entities), (ii) the list maintained by the United States Department of Treasury (Specially Designated Nationals and Blocked Persons), and (iii) the two lists maintained by the United States Department of State (Terrorist Organizations and Debarred Parties).

  • Sub-Contractors means those persons furnishing labor or materials for the Project pursuant to the Sub- Contracts.

  • Central Contractor Registration (CCR) database means the primary Government repository for Contractor information required for the conduct of business with the Government.

  • IT Contracts means the contracts (whether or not in writing and including those currently being negotiated) under which any third party provides or will provide any element of, or services relating to, the IT Assets, including leasing, hire purchase, licensing, maintenance, website hosting, outsourcing, security, back-up, disaster recovery, insurance, cloud computing and other types of services agreements.

  • Service Agreements means the agreements in the agreed form to be entered into between the Company and each of the Founders;

  • Procurement Law means the Public Contracts Regulations 2015, the Concession Contracts Regulations 2016 (insofar as the same are applicable) together with any statutory modification or replacement regulations or Legislation on procurement by public bodies; Professional Team means (as applicable) the architect, civil & structural engineer, the mechanical & electrical engineer and any other consultant appointed by the Grant Recipient in connection with a Firm Scheme; Prohibited Act means:

  • Commercial Agreements means all or any Agreement or Agreements with any third party including but not limited to broadcasting, media, sponsorship, marketing, merchandising, licensing and advertising, for the general promotion of each or any of the Clubs in the Competition and the Company, and which have the object of promoting the welfare and general commercial interest and increasing the financial resources of each of the Clubs, the Company and the Competition.

  • public works contract means any agreement between any individual, firm or corporation and the State or any political subdivision of the State other than a municipality for construction, rehabilitation, conversion, extension, demolition or repair of a public building, highway or other changes or improvements in real property, or which is financed in whole or in part by the State, including, but not limited to, matching expenditures, grants, loans, insurance or guarantees.

  • Export Control Laws means (a) the U.S. Export Administration Regulations and all other Laws adopted by Governmental Authorities of the United States and other countries relating to import and export controls and (b) the anti-boycott regulations administered by the U.S. Department of Commerce and the U.S. Department of the Treasury and all anti-boycott Laws adopted by Governmental Authorities of other countries relating to prohibition of unauthorized boycotts.
