Government Subcontracts definition

Government Subcontracts means contracts solely between Borrower and a third party contractor (a “Prime Contractor”) entered into in the ordinary course of Borrower’s business and with respect to which Borrower, as subcontractor, provides goods or services to a United States, state or local Governmental Authority on behalf of such Prime Contractor pursuant to a prime contract between such Prime Contractor and such Governmental Authority.
Government Subcontracts means, collectively, (i) all Contracts that are a subcontract between any Transferred Entity on the one hand, and any third party on the other hand, that relates, to the knowledge of SES, to a Contract between such third party and (a) any Governmental Entity or (b) another party where the ultimate contracting party is a Governmental Entity and (ii) all AMC-23 Contracts that are a subcontract with a third party relating, to the knowledge of SES, to a Contract between such third party and (c) any Governmental Entity or (d) another party where the ultimate contracting party is a Governmental Entity. Government Subcontract includes all bids and proposals submitted by SES or its Affiliates to any party that if accepted or awarded would result in a binding Government Subcontract.

  • This Subcontract shall be enforced and interpreted, irrespective of the place of performance, in accordance with the Federal law of Government Subcontracts.

  • The subcontractor(s) and independent contractor(s) of the Company and the Subsidiaries possess all necessary security clearances required to perform the applicable Company Government Contracts and Company Government Subcontracts.

Part 31).

  • Irrespective of the place of performance, this Subcontract will be construed and interpreted according to the Federal Common Law of Government Subcontracts as enunciated and applied by Federal judicial bodies, Boards of Subcontract Appeals and quasi-judicial agencies of the Federal Government.

  • Government Subcontract means each contract between the Issuer or any of its Subsidiaries and any prime contractor or upper-tier subcontractor relating to a contract between such Person and any governmental entity, and each Bid with respect to Government Subcontracts.

  • Government Contracts has the meaning set forth in Section 3.09(a)(viii).

  • Government Contract means any prime contract, subcontract, letter contract, purchase order or delivery order executed or submitted to or on behalf of any Governmental Body or any prime contractor or higher-tier subcontractor, or under which any Governmental Body or any such prime contractor or subcontractor otherwise has or may acquire any right or interest.

  • Sub-subcontractor means any Person, including an Equipment supplier or vendor, who has a direct or indirect contract with a Subcontractor or another Sub-subcontractor to manufacture or supply Equipment which comprises a portion of the Work, to lease Construction Equipment to Subcontractor or another Sub-subcontractor in connection with the Work, to perform a portion of the Work or to otherwise furnish labor or materials.

  • Subcontracts means subcontract(s) in any tier.

  • Government List means any of (i) the two lists maintained by the United States Department of Commerce (Denied Persons and Entities), (ii) the list maintained by the United States Department of Treasury (Specially Designated Nationals and Blocked Persons), and (iii) the two lists maintained by the United States Department of State (Terrorist Organizations and Debarred Parties).

  • Government data means any information, document, media, or machine readable material regardless of physical form or characteristics, that is created or obtained by the Government in the course of official Government business.

  • Government Programs means (i) the Medicare and Medicaid Programs, (ii) the United States Department of Defense Civilian Health Program for Uniformed Services and (iii) other similar foreign or domestic federal, state or local reimbursement or governmental health care programs.

  • Government Lists means (i) the Specially Designated Nationals and Blocked Persons Lists maintained by Office of Foreign Assets Control (“OFAC”), (ii) any other list of terrorists, terrorist organizations or narcotics traffickers maintained pursuant to any of the Rules and Regulations of OFAC that Lender notified Borrower in writing is now included in “Governmental Lists”, or (iii) any similar lists maintained by the United States Department of State, the United States Department of Commerce or any other government authority or pursuant to any Executive Order of the President of the United States of America that Lender notified Borrower in writing is now included in “Governmental Lists”.

  • Major Subcontractor means a Subcontractor who enters into a Major Subcontract.

  • Major Subcontract means any Subcontract with a Major Subcontractor.

  • Government Bid means a bid, tender or proposal which, if accepted, would result in a Government Contract.

  • Government Servant means any person appointed by Government to any civil service or post in connection with the affairs of the Union & includes a civilian in a Defence service;

  • Government school means a school established under section 5 of the Act, for the purpose of providing courses of instruction in pre-school, primary or secondary education.

  • Governmental contract means a contract awarded by a governmental entity for general construction, an improvement, a service, or a public works project for a purchase of supplies, materials, or equipment. The term includes a contract to obtain a professional or consulting service subject to Government Code, Chapter 2254.

  • Government Body means any domestic or foreign federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality, or other body exercising or entitled to exercise any administrative, executive, judicial, legislative, police, regulatory or taxing authority or power of any nature.

  • Third Party Subcontract means a subcontract entered into by the Third Party Contractor with a Third Party Subcontractor, or a Third Party Subcontractor with another Third Party Subcontractor at any tier, and is supported in whole or in part with the federal assistance originally derived from FTA, or non- federal share dedicated to the Recipient’s Underlying Agreement.

  • Government-furnished property means property in the possession of, or directly acquired by, the Government and subsequently furnished to the Contractor for performance of a contract. Government-furnished property includes, but is not limited to, spares and property furnished for repair, maintenance, overhaul, or modification. Government-furnished property also includes contractor-acquired property if the contractor-acquired property is a deliverable under a cost contract when accepted by the Government for continued use under the contract.

  • Government agreement has the meaning given in the Government Agreements Xxx 0000 (WA);

  • Contracting Government means any Government which has deposited an instrument of ratification or has given notice of adherence to this Convention.

  • First-tier subcontract means a subcontract awarded directly by the Contractor for the purpose of acquiring supplies or services (including construction) for performance of a prime contract. It does not include the Contractor’s supplier agreements with vendors, such as long-term arrangements for materials or supplies that would benefit multiple contracts and/or the costs of which are normally applied to a Contractor’s general and administrative expenses or indirect cost.

  • Customer Contracts means any and all Contracts with customers of the Company, including professional services agreements, supply agreements, service agreements, license agreements, maintenance and development agreements and consulting agreements.

  • Subcontractor means any person, private or government entity, or a combination of the above, to whom any part of the Goods to be supplied or execution of any part of the Related Services is subcontracted by the Supplier.

  • Contractor Personnel means Contractor’s employees and subcontractors (as well as any employees or subcontractors of those subcontractors) performing the Services.

  • Host Government means a Government with which UNICEF has a programme of development cooperation, and includes a Government of a country in which UNICEF provides humanitarian assistance.
