None of the parties hereto shall be subject to any order, decree or injunction of a court or agency of competent jurisdiction that enjoins or prohibits the consummation of the transactions contemplated by this Agreement and no statute, rule or regulation shall have been enacted, entered, promulgated, interpreted, applied or enforced by any Governmental Entity or Regulatory Authority, that enjoins or prohibits the consummation of the transactions contemplated by this Agreement.

No Governmental Entity or Regulatory Authority has proposed, asserted or assessed (tentatively or otherwise) any adjustment that could result in an additional Tax for which the Company is or may be liable or which could result in a Lien on any of the Company's assets that has not been finally settled and fully paid.

For outside appointments or home visits a fee may be incurred depending on the time spent travelling there and back.
To the Knowledge of the Sellers, no Governmental Entity or Regulatory Authority has threatened to conduct an investigation, inquiry, audit or review relating to the Product.
There has been no Proceeding pending or, to the Knowledge of the Sellers, threatened by any Governmental Entity or Regulatory Authority since April 1, 2011 with respect to any alleged material violation by any Seller or any of its Affiliates of any Law applicable to the conduct of the Business.
In the event the allocation is disputed by any Governmental Entity or Regulatory Authority, the party receiving notice of such dispute shall promptly notify and consult with the other parties concerning the resolution of such dispute, and shall keep the other parties apprised of the status of such dispute and the resolution thereof.
Each Party intends that neither this Agreement nor any Work Assignment shall benefit, or create any right or cause of action in or on behalf of, any Person or entity, including without limitation any Governmental Entity or Regulatory Authority, other than COMMONWEALTH, the CLIENTS, ADMINISTRATOR and SDI, as the case may be.
