Examples of GP Employees in a sentence

  • Under the terms of the Valero Energy Corporation Deferred Compensation Plan (“Deferred Compensation Plan”), Eligible GP Employees who are participants in the Deferred Compensation Plan shall be deemed to have terminated employment upon VEC ceasing to own a majority of the equity interest in GP.

  • Effective as of the expiration of the Welfare Plan Transition Period, Eligible GP Employees shall cease participation in the VEC flexible benefits plan, and GP may establish a flexible benefits plan under Code section 125 for Eligible GP Employees.

  • Effective as of July 1, 2006, GP shall adopt an Excess Thrift Plan (“GP Excess Thrift Plan”) for Eligible GP Employees, as well as other individuals subsequently employed by GP and determined to be eligible under the terms of the GP Excess Thrift Plan, which shall have initial terms substantially similar to the terms of the Valero Energy Corporation Excess Thrift Plan (“VEC Excess Thrift Plan”).

  • With respect to the continuation of coverage during the Welfare Plan Transition Period for the Eligible GP Employees and their dependents, GP shall continue to be charged by VEC the percentage of payroll attributable to the overall benefit costs as determined on January 1, 2006 (such percentage being 50.6%, a portion of which relates to the provision of welfare benefits).

  • VEC will also be responsible for providing any required COBRA coverage for Eligible GP Employees and dependents whose COBRA qualifying event occurs during the Welfare Plan Transition Period, and for administering any QMCSOs received during the Welfare Plan Transition Period.

  • During the period beginning July 1, 2006 and ending at the expiration of the Welfare Plan Transition Period, Eligible GP Employees will continue to be eligible to participate in the VEC flexible benefits plan under Code section 125, subject to its terms and conditions as they may be amended from time to time.

  • Effective as of July 1, 2006, GP adopted a defined contribution retirement plan (“XX Xxxxxx Plan”) for Eligible GP Employees as well as other individuals subsequently employed by GP and determined to be eligible under the terms of the XX Xxxxxx Plan.

  • Effective as of July 1, 2006, GP shall adopt an Excess Pension Plan (“GP Excess Pension Plan”) and a Supplemental Retirement Plan (“GP SERP”) for Eligible GP Employees, as well as other individuals subsequently employed by GP and determined to be eligible under the terms of the GP Excess Pension Plan or GP SERP, which shall have initial terms substantially similar to the terms of the corresponding VEC plans (“VEC Excess Pension Plan” and “VEC SERP”, respectively).

  • OCI USA shall indemnify, defend and hold harmless each Group Member from and against any Losses suffered or incurred by such Group Member by reason of or arising out of the transfer of any OCI Employees to OCI USA or the transfer of any GP Employees to the General Partner as described in Section 6.1.

  • The GP Excess Thrift Plan shall provide credit to all Eligible GP Employees for purposes of vesting for all service credited by VEC for such purpose under the VEC Excess Thrift Plan.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Retained Employees has the meaning set forth in Section 8.1.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Public employee means an individual holding a position by appointment or employment in the government of this state, in the government of 1 or more of the political subdivisions of this state, in the public school service, in a public or special district, in the service of an authority, commission, or board, or in any other branch of the public service, subject to the following exceptions:

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.
