U.S. Loan Parties means the U.S. Borrowers and the U.S. Guarantors.
Transaction Parties As defined in Section 5.3(o).
Parent Parties means Parent and Merger Sub.
Credit Parties means the Borrower and the Guarantors.
Loan Parties means, collectively, the Borrower and each Guarantor.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;
The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.
U.S. Credit Parties means, collectively, the US Borrowers and the US Subsidiary Guarantors.
Partnership Parties has the meaning assigned to such term in the preamble.
Bank Parties means Administrative Agent and the Banks.
Company Entities means the Company and the Company Subsidiaries.
Security Parties means at any relevant time, the Borrower, the Guarantor, the Pledgor, the Target, the Vessel Owners and any other person who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and “Security Party” means any one of them.
Warrantors means the Founders, the Founder Holdcos and the Group Companies.
Non-Party Affiliates has the meaning set forth in Section 10.15.
Agent Parties has the meaning specified in Section 10.02(c).
lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;
Great bodily harm means bodily injury which creates a substantial risk of death, or which causes serious permanent dis- figurement, or which causes a permanent or protracted loss or impairment of the function of any bodily member or organ or other serious bodily injury.
Construction Parties means all of the Parties to a Construction Service Agreement.
Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.
Organized criminal group means a structured group of three or more persons, existing for a period of time and acting in concert with the aim of committing one or more serious crimes or offences established in accordance with this Convention, in order to obtain, directly or indirectly, a financial or other material benefit;
Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.
Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;
Party/Parties means Buyer and Seller individually/collectively.
Buyer Parties has the meaning set forth in the Preamble.
Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.
