Gross Enterprise Value definition

Gross Enterprise Value means the enterprise value of the Company, such enterprise value of which is calculated as the sum of (A) (x) 6.25 multiplied by (y) the forecasted trailing 12 months Adjusted EBITDA as of November 30, 2007, plus (B) $10,000,000, which such Gross Enterprise Value is estimated to be $197,500,000.
