Guarantor Representative definition

Guarantor Representative means (1) so long as the Senior Credit Facility remains outstanding or any commitments thereunder remain in effect, the agent (or if there is more than one agent therefor, the administrative agent for the lender parties thereunder) and (2) thereafter the agent, the indenture trustee, other trustee or other representative for any Guarantor Senior Indebtedness.
Guarantor Representative shall initially be New Member; provided, however, that the Guarantors may change the Guarantor Representative by written notice to the Beneficiary Representative signed by each Guarantor.
Guarantor Representative means IMTT.

  • If the Trustee does not file such a claim prior to 30 days before the expiration of the time to file such a claim, the holders of Guarantor Senior Indebtedness, or any Guarantor Representative, may, and hereby are authorized to, file such a claim on behalf of Holders of the applicable Notes.

  • Any distribution to the holders of Guarantor Senior Indebtedness or their Guarantor Representative of assets other than cash may be held by such holders or such Guarantor Representative as additional collateral without any duty to the Holders to liquidate or otherwise realize on such assets or to apply such assets to any Guarantor Senior Indebtedness or other Obligations relating thereto.

  • Creditor Representative means, with respect to Series 2023-5, the Indenture Trustee.

  • Issuer Representative means the person or persons at the time designated to act on behalf of the Issuer by written certificate furnished to the Company and the Trustee containing the specimen signatures of such person or persons and signed on behalf of the Issuer by its duly authorized agent. Such certificate may designate an alternate or alternates.

  • Junior Representative means, with respect to any series of Permitted Junior Debt, the trustee, administrative agent, collateral agent, security agent or similar agent under the indenture or agreement pursuant to which such Permitted Junior Debt is issued, incurred or otherwise obtained and each of their successors in such capacities.

  • Senior Representative means, with respect to any series of Indebtedness, the trustee, administrative agent, collateral agent, security agent or similar agent under the indenture or agreement pursuant to which such Indebtedness is issued, incurred or otherwise obtained, as the case may be, and each of their successors in such capacities.

  • Second Priority Representative means (i) in the case of the Initial Second Priority Debt Facility covered hereby, the Initial Second Priority Representative and (ii) in the case of any Second Priority Debt Facility and the Second Priority Debt Parties thereunder the trustee, administrative agent, collateral agent, security agent or similar agent under such Second Priority Debt Facility that is named as the Representative in respect of such Second Priority Debt Facility in the applicable Joinder Agreement.

  • Investor Representative has the meaning assigned to such term in Section 2.1(a).

  • Designated Senior Representative means (i) if at any time there is only one Senior Representative for a Senior Facility with respect to which the Discharge of Senior Obligations has not occurred, such Senior Representative and (ii) at any time when clause (i) does not apply, the Applicable Authorized Representative (as defined in the First Lien Intercreditor Agreement) at such time.

  • Secured Debt Representative means each Parity Lien Representative and each Priority Lien Representative.

  • Subordinated Creditor means any creditor of Tenant which is a party to a Subordination Agreement in favor of Landlord.
