Holder Stock definition

Holder Stock has the meaning set forth in recitals of this Agreement.
Holder Stock means (i) shares of Common Stock owned by the holders of Series C and Series D Preferred; (ii) shares of Common Stock issued or issuable upon the conversion or exercise of any stock (including, without limitation, the Series B Preferred, Series C Preferred and Series D Preferred) warrants, options or other securities of the Company owned by the holders of Series C and Series D Preferred, and (iii) any shares of Common Stock issued as a dividend or other distribution with respect to or in exchange for or in replacement of the shares referenced in (i) and (ii) above.
Holder Stock will continue to be Holder Stock in the hands of any ------------ holder other than Holder (except for the Company and the Investors and except for transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Holder Stock will succeed to all rights and obligations attributable to Holder as a holder of Holder Stock hereunder. Holder Stock will also include shares of the Company's capital stock issued with respect to Holder Stock by way of a stock split, stock dividend or other recapitalization. Notwithstanding the foregoing, all Unvested Shares shall remain Unvested Shares after any Transfer thereof.

  • Except as otherwise provided herein, this Joinder shall bind and inure to the benefit of and be enforceable by the Company and its successors and assigns and Holder and any subsequent holders of Holder Stock and the respective successors and assigns of each of them, so long as they hold any shares of Holder Stock.

  • Stockholder Shares means all securities of the Company registered in the name of, or Beneficially Owned by the Stockholder Parties, including any and all securities of the Company acquired and held in such capacity subsequent to the date hereof.

  • Class B Stock means Class B Stock, par value $1.00 per share, of the Company.

  • Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • Exempt Securities has the meaning set forth in Section 4.4(d).

  • Series A-1 Preferred Shares means the Company’s series A-1 preferred shares, par value US$0.00001 per share.
