• Xxxxx, FT Bandwidth Ventures, LLC, and/or FT Bandwidth Ventures II, LLC, be excluded from such underwriting unless all other Key Holder Registrable Securities are first excluded from such offering.

More Definitions of Key Holder Registrable Securities

Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders; (ii) any Common Stock, or any Common Stock issued or issuable (directly or indirectly) upon conversion and/or exercise of any other securities of the Company, acquired by the Key Holders after the date hereof; and (iii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of the shares referenced in clauses (i) and (ii) above.

Key Holder Registrable Securities means (i) the outstanding shares of Common Stock held by the Key Holders as of the date hereof (or issuable upon the conversion or exercise of any warrant, right, or other security held by the Key Holders as of the date hereof), (ii) any Common Stock issued (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued) to the Key Holders from or after the date hereof, including, without limitation, upon the conversion or exercise of any warrant, right or other security, and (iii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

Key Holder Registrable Securities means (i) any Common Stock currently held or hereafter acquired by the Key Holders (including any shares of Common Stock issued to Key Holders pursuant to that certain Restricted Stock Agreement, dated as of the January 11, 2019 (the “AskAt RSA”) by and between the Company and those persons affiliated with AskAt, Inc. or pursuant to other Restricted Stock Agreement by and between the Company and certain Key Holders); and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of, the shares referenced above; and excluding for purposes of Section 2 any shares for which registration rights have terminated pursuant to Subsection 2.13 of this Agreement.

Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, (ii) the shares of Common Stock issuable upon exercise of stock options or restricted stock awards held by the Key Holders on the date hereof, (iii) the shares of Common Stock issuable upon exercise of stock options or restricted stock awards granted to the Key Holders after the date hereof and (iv) any shares of Common Stock issued as, or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as a dividend or other distribution with respect to, or in exchange for or in replacement of, any of the securities referred to in the foregoing clause (i)-(iii) or this clause (iv). Notwithstanding the foregoing, in the event that any of the securities referred to in the foregoing clauses (i)-(iv) are transferred other than in a manner permitted pursuant to the terms of this Agreement, such securities so transferred shall cease to be treated as Key Holder Registrable Securities for all purposes of this Agreement.

Key Holder Registrable Securities means (i) the shares of Common Stock held of record by the Key Holders on May 3, 2020 or acquired by the Key Holders from the Company after May 3, 2020; and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares. Shares held of record or acquired by a trustee under an incentive or benefit plan of the Company for the benefit of a Key Holder shall, for purposes of this Agreement, be deemed to be held of record or acquired by such Key Holder.” (c) Effective upon the consummation of the IPO, Section 1.25 of the Agreement is hereby amended and restated in its entirety to read as follows:

Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders; (ii) any Common Stock, or any Common Stock issued or issuable (directly or indirectly) upon conversion and/or exercise of any other securities of the Company, acquired by the Key Holders after the date hereof; and

Key Holder Registrable Securities means the Common Stock held by the Key Holders.
