The HPT Parties and the TA Parties acknowledge and agree that the TA/Petro Leases are so-called “triple net” leases, and TA Tenant is responsible for all real estate taxes, personal property taxes, other assessments, utilities and other costs and expenses related to each Property as further described in the TA/Petro Leases.
For purposes of this Section 5.1, the term “equity interest” shall mean, (i) in respect of the HPT Parties, shares of beneficial interest of HPT, (ii) in respect of the TA Parties, “membership interests” in TA LLC as defined in the Delaware Limited Liability Companies Act, (iii) in respect of RMR, “membership interests” in RMR as defined in the Delaware Limited Liability Companies Act.
Similarly, there shall be no union agreements, pension plans, health plans, benefit plans, deferred compensation plans, bonus plans or vacation plans or similar agreements for or concerning such employees which shall be binding upon the HPT Parties.
All of the representations and warranties made by each of the sellers in the Purchase Agreements are true and correct in all respects and such representations and warranties are hereby restated and made by the Marriott Parties directly to and for the benefit of each of the HPT Parties as if more fully set forth herein.
There shall be no default on the part of any of the HPT Parties under any of the Transaction Documents, and there shall be no facts or circumstances which with the passage of time, the giving of notice or both would constitute such a default or which would pursuant to the terms of the Transaction Documents entitle the Seller to terminate any Transaction Document.
None of the HPT Parties shall assign or transfer, directly or indirectly, its rights under this Agreement without the prior written consent of the Marriott Parties, which consent may be given or withheld in their sole discretion, except that HPTMI or the New Tenant shall have the right to assign this Agreement to any permitted transferee of any Property under any Lease.

The Marriott Parties acknowledge that they have been advised by the HPT Parties that the HPT Parties intend to amend and restate the Additional Leases and the Initial Leases that have been from time to time assigned to the New Tenant pursuant to the terms hereof (and after giving effect to any amendments contemplated hereby) as a single master lease.
It is the intention of the parties hereto that the Deposit be available to benefit each of the HPT Parties as herein provided and that all of the IHG Parties shall have the obligations with respect to the Deposit correspondingly as set forth herein.
Until all obligations of the IHG Parties and PR Tenant pursuant to the Secured Obligations shall have been irrevocably paid and satisfied in full, each of Staybridge Manager, IC Manager and IHG Maryland waives any right to enforce any remedy which any of the HPT Parties now has or may in the future have against the other or the PR Tenant with respect to the Deposit, draws therefrom or the replenishment thereof.
