IIA Grants definition

IIA Grants means funding received under the incubator program of the IIA in the amount of $278,357 (file # 35082; execution period: 6/1/2005 — 5/31/2007), and under the IIA’s R&D program for cooperation with German companies in the amounts of $324,717 (file number 41239; execution period: 1/1/2009 — 12/31/2009) and $8,136 (file number 41239; execution period: 1/1/2009 — 12/31/2009).
IIA Grants has the meaning set forth in Section 3.23(c).
IIA Grants shall have the meaning assigned to it in Section 2.14(b).

  • IIA Grants are recognized in accordance with IFRS 9, "Financial Instruments" ("IFRS 9").

  • Prior to the Closing, the Company shall consult with Buyer regarding all matters relating to the IIA, will not discuss with the IIA or present to the IIA any facts or information relating to the Transactions, will not receive any funding under the approved IIA Grants of the Company, will not apply for any new IIA approvals for IIA Grants without obtaining Buyer’s or its counsel’s prior written consent and will not exercise any new IIA approval if granted to the Company.

  • The IIA Grants are not subject to annulment, revocation, withdrawal, suspension, cancellation, recapture or modification, and there is no outstanding requirement that the Company return or refund any benefits provided under any IIA Grant.

  • Immediately after submission of the application for the IIA Approval, if made prior to the Closing, the Company will notify the IIA that the Company waives the receipt of any amounts that were not yet received under the approved IIA Grants of the Company and that the Company withdraws any pending application(s) for additional IIA Grants.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Stock Rights means all dividends, instruments or other distributions and any other right or property which the Grantors shall receive or shall become entitled to receive for any reason whatsoever with respect to, in substitution for or in exchange for any Equity Interest constituting Collateral, any right to receive an Equity Interest and any right to receive earnings, in which the Grantors now have or hereafter acquire any right, issued by an issuer of such Equity Interest.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Stock Units means investment units under the Deferred Delivery Plan, each of which is deemed to be equivalent to one share of Stock.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Sub-grant means a grant made or proposed to be made by the Recipient to a Beneficiary out of the proceeds of the Financing for the purpose of financing a Subproject; and “Sub-grants” means more than one such Sub-grant.

  • Restricted Stock Unit means a bookkeeping entry representing an amount equal to the Fair Market Value of one Share, granted pursuant to Section 8. Each Restricted Stock Unit represents an unfunded and unsecured obligation of the Company.

  • Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.

  • Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.

  • Restricted Stock means Shares issued pursuant to a Restricted Stock award under Section 7 of the Plan, or issued pursuant to the early exercise of an Option.

  • Restricted Stock Plan means either the RPM International Inc. 1997 Restricted Stock Plan or the RPM International Inc. 2007 Restricted Stock Plan and any successor plan or arrangement to either of such plans, but shall not be deemed to mean or include the Omnibus Plan.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Restricted Stock Grant means Shares awarded under the Plan as provided in Section 9.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Stock Appreciation Right Agreement means a written agreement between the Company and a holder of a Stock Appreciation Right evidencing the terms and conditions of a Stock Appreciation Right grant. Each Stock Appreciation Right Agreement will be subject to the terms and conditions of the Plan.

  • Other Stock-Based Awards means Awards granted to a Participant under Section 6(i) hereof.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Initial Grant means an Option granted to a Non-Employee Director who meets the specified criteria pursuant to Section 6(a).

  • Stock Awards means all stock options, restricted stock and such other awards granted pursuant to the Company’s stock option and equity incentive award plans or agreements and any shares of stock issued upon exercise thereof.

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Annual Grant means an Option granted annually to all Non-Employee Directors who meet the criteria specified in subsection 6(b) of the Plan.

  • Dividend Equivalent means a right to receive the equivalent value (in cash or Shares) of dividends paid on Shares, awarded under Section 9.2.
