If the Closing has not occurred by September 1, 2003, the Increase Cap shall increase by $25,000 for each month from September 1, 2003 through the Closing Date.
The Access Fee for subsequent years will equal 100% of the previous year’s Access Fee plus an increase not to exceed the Fee Increase Cap herein, plus any adjustments for new, cancelled or deleted titles.

In subsequent years as the Base Contract Price is adjusted and the limitation is in effect, the amount of the limitation would also adjust as a result of applying the Increase Cap to a Base Contract Price that has been adjusted in accordance with this Agreement.
It is further understood and agreed that (i) after giving effect to this Third Amendment and the 2015 Revolver Commitment Increase, the Increase Cap shall be $25.0 million and (ii) the 2015 Revolver Commitment Increase shall constitute a “Revolver Commitment Increase” for all purposes under the Credit Agreement and the other Loan Documents (including clause (a) of the proviso at the end of Section 2.22(a)).
