Examples of Indemnities in a sentence
Except as set forth below, such notice to the relevant Indemnitee will give the Indemnifying Party full authority to defend, adjust, compromise, or settle such Claim with respect to which such notice will have been given, except to the extent that any compromise or settlement might prejudice the Intellectual Property Rights of the relevant Indemnities.
Subject to the remainder of this Clause 16 (Indemnities), You will: (a) defend Dell and its suppliers against any Third-Party Claim; and (b) indemnify Dell and its suppliers by paying (i) the resulting costs and damages finally awarded against Dell or its suppliers by a court of competent jurisdiction to the extent such are the result of the Third-Party Claim; or (ii) the amounts stated in a written settlement negotiated and approved by You.
The parties' respective rights to Indemnified Claims under this Clause 16 (Indemnities) are in lieu of any common law or statutory indemnification rights or analogous rights, and each party waives such common law or statutory rights, if allowed by applicable law.
