Examples of Indemnitor in a sentence
The Indemnitor shall have the right to undertake, by counsel or other representatives of its own choosing, the defense of any claim against the Indemnified Party.
The indemnified Party (the “Indemnitee”) shall: (i) give the indemnifying Party (the “Indemnitor”) prompt written notice of any Claim; and (ii) allow the Indemnitor to control, and fully cooperate with the Indemnitor (at the Indemnitor’s sole expense) in, the defense and all related negotiations.
Indemnitor agrees to keep Indemnitees informed of the progress in the defense and disposition of such claim, administrative action, legal action or demand, and to consult with Indemnitees with regard to any proposed settlement.
The Indemnitor shall immediately assume the full control of the defense or settlement of such Claim or allegation, including the selection and employment of counsel, and shall pay all authorized and documented costs and expenses of such defense.
The Indemnitee will not make any payment or incur any costs or expenses with respect to such Claim, except as requested by the Indemnitor or as necessary to comply with this procedure.
