Indemnity Escrow Funds definition

Indemnity Escrow Funds means the amount of cash held from time to time by the Escrow Agent in the Indemnity Escrow Account pursuant to the Escrow Agreement.

Indemnity Escrow Funds means the portion of the Escrow Funds held for purposes of satisfying indemnity claims hereunder, as described in the Escrow Agreement.

Indemnity Escrow Funds means the amounts held in the Indemnity Escrow Account, including any dividends, interest, distributions and other income received in respect thereof, less any losses on investment thereof, less distributions thereof.

More Definitions of Indemnity Escrow Funds

Indemnity Escrow Funds means, as of any date of determination, the excess (if any) of the Indemnity Escrow Amount (including accrued interest or earnings thereon) over the sum of all distributions and other payments to any Person from the Indemnity Escrow Sub-Account paid pursuant to the terms of the Escrow Agreement on or prior to such date of determination.
