Independent Investment Bank means one of the Reference Treasury Dealers that the Issuer appoints to act as the Independent Investment Bank from time to time.

• If the Calculation Agent or Registrar is unable or unwilling to act as such or if it fails to make a determination or calculation or otherwise fails to perform its duties under these Terms and Conditions or the relevant Calculation Agency Agreement or the Paying Agency Agreement as appropriate, the Issuer shall appoint, on terms acceptable to the Trustee, an Independent Investment Bank acceptable to the Trustee to act as such in its place.
