Index Extraordinary Event definition

Index Extraordinary Event means an Equity Extraordinary Event, a Commodity Extraordinary Event, a Debt Extraordinary Event, a Derivatives and Other Instrument Extraordinary Event, a Market Data Extraordinary Event, an Underlying Index Extraordinary Event, an Underlying SGI Index Extraordinary Event or, when applicable, an Additional Extraordinary Event (as defined in section 4.6 of this SGI Global Methodology), which in any case the Index Calculation Agent, after instruction from the Index Sponsor, determines is material. Index Extraordinary Event means an Equity Extraordinary Event, a Market Data Extraordinary Event or an Additional Extraordinary Event as defined hereinbelow, which in any case the Index Calculation Agent, after instruction from the Index Sponsor, determines is material. 2.2 Equity Extraordinary Event
Index Extraordinary Event means an Underlying Index Extraordinary Event or an Additional Extraordinary Event as defined hereinbelow, which in any case the Index Calculation Agent, after instruction from the Index Sponsor, determines is material.

Examples of Index Extraordinary Event in a sentence

  • Where an Index Extraordinary Event is continuing, the SGI Index may be composed of fewer than the number of OTC Options provided for under the Index Rules in the absence of such Index Extraordinary Event.

  • No OTC Option will be deemed traded on any such Extraordinary Event Day, or on any day on which such Index Extraordinary Event is continuing, regardless of whether the Index Calculation Agent determines the Index Level on such date in accordance with the provisions of (A) above.

  • With respect to an Index Extraordinary Event, the SGI Global Methodology shall apply.

  • If an Index Extraordinary Event occurs on a Scheduled Calculation Date (an “Extraordinary Event Day”), the Index Calculation Agent, after instruction from the Index Sponsor, may suspend the calculation of the Index Level on such Extraordinary Event Day, in which case the next Calculation Date (if any) shall be the first succeeding Scheduled Calculation Date on which the Index Extraordinary Event has been remedied in accordance with the following sentence.

  • Subject to the approval of the Index Sponsor’s internal index committee (and as applicable, the Index Scientific Committee), the Index Sponsor may, and may instruct the Index Calculation Agent to, derogate from the Extraordinary Event Remedies described above following an Index Extraordinary Event (a) in furtherance of the maintenance of the SGI Index and (b) preserving the economic characteristics thereof.

  • Any Index Extraordinary Event defined in the SGI Global Methodology.

  • The Sub-Index Level, in respect of Calculation Date (t), is calculated by the Index Calculation Agent at the Valuation Time, subject to the occurrence or existence of an Index Disruption Event or an Index Extraordinary Event, according to the following formula: For any Calculation (t) > tCB: with, SIL(tCB) = 1000.

  • The Gross Index Level, in respect of Calculation Date (t), is calculated by the Index Calculation Agent at the Valuation Time, subject to the occurrence or existence of an Index Disruption Event or an Index Extraordinary Event, according to the following formula: For any Calculation (t) > tS: with, SIL(tS) = 1000.


More Definitions of Index Extraordinary Event

Index Extraordinary Event means the occurrence or existence of any of the following events, which the Index Calculation Agent, upon instructions from the Index Sponsor, determines is material: (a) a Market Data Extraordinary Event, (b) an Underlying SGI Index Extraordinary Event, or (c) an Additional Extraordinary Event.
Index Extraordinary Event means an Equity Extraordinary Event or a Market Data Extraordinary Event, which in any case the Index Calculation Agent, after instruction from the Index Sp onsor, determines is material.

Related to Index Extraordinary Event

  • Extraordinary Event means any event, circumstance or cause which Royal Bank determines has or will have a material adverse effect on the ability of Royal Bank to perform its obligations under the Notes or to hedge its position in respect of its obligation to make payment of amounts owing thereunder, including as a result of any of Royal Bank’s internal policies, and more specifically includes a Market Disruption Event in respect of any Share or Hedging Event.

  • Extraordinary Events Any of the following conditions with respect to a Mortgaged Property (or, with respect to a Cooperative Loan, the Cooperative Apartment) or Mortgage Loan causing or resulting in a loss which causes the liquidation of such Mortgage Loan:

  • Extraordinary Adjustment Event means any of the following events as they relate to the Reference In- strument:

  • ECB Recommended Rate Index Cessation Event means the occurrence of one or more of the following events:

  • Extraordinary Dividend means any cash dividend or distribution (or portion thereof) that the Calculation Agent determines, in its sole discretion, is extraordinary or special; and

  • FX Disruption Event ' means the occurrence of any event on any day or any number of consecutive days as determined by the Calculation Agent in its sole and reasonable discretion that affects the Issuer’s currency hedging (if any) with respect to the Products.

  • Index Cessation Event means, with respect to an Applicable Benchmark, (a) a public statement or publication of information by or on behalf of the Administrator of the Applicable Benchmark announcing that it has ceased or will cease to provide the Applicable Benchmark permanently or indefinitely, provided that, at the time of the statement or publication, there is no successor administrator or provider, as applicable, that will continue to provide the Applicable Benchmark; or (b) a public statement or publication of information by the regulatory supervisor for the Administrator of the Applicable Benchmark, the central bank for the currency of the Applicable Benchmark, an insolvency official with jurisdiction over the Administrator for the Applicable Benchmark, a resolution authority with jurisdiction over the Administrator for the Applicable Benchmark or a court or an entity with similar insolvency or resolution authority over the Administrator for the Applicable Benchmark, which states that the Administrator of the Applicable Benchmark has ceased or will cease to provide the Applicable Benchmark permanently or indefinitely, provided that, at the time of the statement or publication, there is no successor administrator or provider that will continue to provide the Applicable Benchmark.

  • Severe Disruption Event means any event specified as such in the Final Terms.

  • Extraordinary Loss Any Realized Loss or portion thereof caused by or resulting from:

  • Extraordinary Corporate Event means as to the Liquidity Provider, (i) the consolidation, amalgamation with, or merger with or into or the transfer of all or substantially all of the Liquidity Provider's assets to another entity, or (ii) the dissolution, for any reason, of the Liquidity Provider other than in connection with the consolidation, amalgamation with, or merger with or into another entity or the transfer of all or substantially all of the Liquidity Provider's assets; provided, however, that with respect to (i) above, an Extraordinary Corporate Event does not include any of the listed occurrences where (x) the surviving entity, or transferee of all or substantially all of the Liquidity Provider's assets, (a) assumes all of the obligations of the Liquidity Provider under the terms of this Agreement and (b) has (i) short-term debt ratings in one of the two highest rating categories from the Requisite NRSROs or (ii) such other short-term debt ratings, if any, as may be required for the VRDP Shares to satisfy the eligibility criteria under Rule 2a-7 under the 1940 Act and (y) the Liquidity Provider has provided notice in writing to the Fund confirming the information described in (x) at least ten (10) days prior to the scheduled date of the applicable listed occurrence in (i) above.

  • VWAP Market Disruption Event means, with respect to any date, (A) the failure by the principal U.S. national or regional securities exchange on which the Common Stock is then listed, or, if the Common Stock is not then listed on a U.S. national or regional securities exchange, the principal other market on which the Common Stock is then traded, to open for trading during its regular trading session on such date; or (B) the occurrence or existence, for more than one half hour period in the aggregate, of any suspension or limitation imposed on trading (by reason of movements in price exceeding limits permitted by the relevant exchange or otherwise) in the Common Stock or in any options contracts or futures contracts relating to the Common Stock, and such suspension or limitation occurs or exists at any time before 1:00 p.m., New York City time, on such date.

  • €STR Index Cessation Event means the occurrence of one or more of the following events:

  • Revaluation Event means an event that results in adjustment of the Carrying Value of each Partnership property pursuant to Section 5.5(d).

  • Reduction Event means any of the following:

  • Index Adjustment Event means, in respect of the Index, an Administrator/Benchmark Event, an Index Cancellation, an Index Disruption or an Index Modification.

  • Settlement Disruption Event means each of the following events, as determined by the Calculation Agent in its sole discretion acting in good faith and in a commercially reasonable manner:

  • Additional Disruption Event means any of Change in Law, Hedging Disruption and/or Increased Cost of Hedging.

  • SOFR Index Cessation Event means the occurrence of one or more of the following events:

  • Reclassification Event means any of the following: (a) any reclassification or recapitalization of PubCo Common Stock (other than a change in par value, or from par value to no par value, or from no par value to par value, or as a result of a subdivision or combination or any transaction subject to Section 4.1(g)), (b) any merger, consolidation or other combination involving PubCo, or (c) any sale, conveyance, lease, or other disposal of all or substantially all the properties and assets of PubCo to any other Person, in each of clauses (a), (b) or (c), as a result of which holders of PubCo Common Stock shall be entitled to receive cash, securities or other property for their shares of PubCo Common Stock.

  • Market Disruption Event means, for the purposes of determining amounts due upon conversion (a) a failure by the primary U.S. national or regional securities exchange or market on which the Common Stock is listed or admitted for trading to open for trading during its regular trading session or (b) the occurrence or existence prior to 1:00 p.m., New York City time, on any Scheduled Trading Day for the Common Stock for more than one half-hour period in the aggregate during regular trading hours of any suspension or limitation imposed on trading (by reason of movements in price exceeding limits permitted by the relevant stock exchange or otherwise) in the Common Stock or in any options contracts or futures contracts relating to the Common Stock.

  • OBFR Index Cessation Event means the occurrence of one or more of the following events:

  • Hedging Disruption Event means any event which, in the Issuer’s reasonable opinion, would make it illegal or commercially unfeasible for the Issuer to continue to hedge its obligations in relation to the Bond.

  • Extraordinary Items means (i) extraordinary, unusual, and/or nonrecurring items of gain or loss; (ii) gains or losses on the disposition of a business; (iii) changes in tax or accounting regulations or laws; or (iv) the effect of a merger or acquisition, all of which must be identified in the audited financial statements, including footnotes, or Management Discussion and Analysis section of the Company’s annual report.

  • Fund Disruption Event means any of the following events, as determined by the Determination Agent in its reasonable discretion:

  • Extraordinary Common Stock Event means (i) the issue of additional shares of the Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) subdivision of outstanding shares of Common Stock into a greater number of shares of the Common Stock, or (iii) combination of outstanding shares of the Common Stock into a smaller number of shares of the Common Stock.

  • Acquisition Event means a merger or consolidation in which the Company is not the surviving entity, any transaction that results in the acquisition of all or substantially all of the Company’s outstanding Common Stock by a single person or entity or by a group of persons and/or entities acting in concert, or the sale or transfer of all or substantially all of the Company’s assets.
