Individual Holders definition

Individual Holders shall have the meaning given in the Recitals hereto.

Individual Holders means, as of any determination time, Individual Investors who hold Registrable Securities under this Agreement.

Individual Holders means (i) the Initial Holders, (ii) any other current or future officers or directors of the Company who receive or acquire Registrable Securities from the Sponsor after the date hereof, and (iii) any Permitted Transferees (other than the Sponsor) of such persons described in (i) and (ii) (but only to the extent that after the date hereof any such Permitted Transferees acquire Registrable Securities from such persons).

Examples of Individual Holders in a sentence

• The representations, warranties, covenants and agreements of the Individual Holders in this Agreement are made severally, and not jointly, by each Individual Holder.

• Each of the Individual Holders hereby agrees to waive any dissenters’ or appraisal rights which may be available under applicable Maryland [or Delaware law.

• Xxxxxxxxxxx or (b) with the consent of DLJ Partners II (which consent shall not be unreasonably withheld), one director designated by the Individual Holders and Permitted Individual Holder Transferees (if any) then owning beneficially a majority of the aggregate Fully-Diluted Common Shares then held by all Individual Holders and Permitted Individual Holder Transferees (if any).

• Without limiting the generality of the foregoing, the Founder and each of Individual Holders who is a “domestic resident” (as defined in Circular 37) shall duly complete, obtain and update the foreign exchange registration with the competent local branch of the SAFE with respect to his/her direct and indirect record and beneficial ownership of Equity Securities in the Company and each other Group Company in accordance with the requirement of the applicable SAFE rules and regulations.

• Individual Holders of the Notes shall not be eligible to exercise Convenience Claim election rights on account of such holdings.

Individual Holders means (i) the Initial Holders, (ii) any other current or future officers or directors of the Company or employees of Cazador Holdings Ltd., a Cayman Islands exempted company incorporated with limited liability and sole shareholder of the Sponsor, who receive or acquire Registrable Securities from the Sponsor after the date hereof, and (iii) any Permitted Transferees (other than the Sponsor) of such persons described in (i) (but only to the extent that after the date hereof any such Permitted Transferees acquire Registrable Securities from such persons).
