Infrastructure Lessor definition

Infrastructure Lessor means any lessor or sublessor under an Infrastructure Lease. Insolvency Event means the happening of any of the following events in relation to a Party:

Examples of Infrastructure Lessor in a sentence

  • Not more than seven months, but not less than six months, prior to the Expiry Date, Aurizon Network must provide to the Infrastructure Lessor a register of the Extension Infrastructure.

  • Except as otherwise provided in the Extension Infrastructure Head-Lease or this Deed, Aurizon Network and the Infrastructure Lessor agree that, despite the terms of the Infrastructure Lease, the Extension Infrastructure or any Excluded Extension Infrastructure will not be taken to be “Railway Assets” (as defined in the Infrastructure Lease) for the purposes of the Infrastructure Lease.

  • Subject to clause 7.7, the Infrastructure Lessor agrees to comply with the Infrastructure Lease Disposal Clause.

  • C The construction of the Extension Infrastructure will require modifications and/or additions to parts of the infrastructure leased by the Infrastructure Lessor to Aurizon Network under the Infrastructure Lease.

  • To the extent that the lease expires at the end of 99 years, the Infrastructure Lessor will pay Aurizon Network Pty Ltd the fair market value of the infrastructure assets, including the infrastructure existing on commencement of the lease as well as any railway assets added during the lease term as are reasonably requiredto enable the infrastructure to be operated as a fully functioning railway network.

  • The IND purports to restrict the Trustee from terminating, rescinding or otherwise exercising certain rights under the Sublease or any land licence (i.e. the RCA) without obtaining the prior written approval of the Infrastructure Lessor.

  • Except as otherwise provided in the Extension Infrastructure Head-Lease or this Deed, Aurizon Network and the Infrastructure Lessor agree that, despite the terms of the Infrastructure Lease, neither the Extension Infrastructure nor any Excluded Extension Infrastructure will be taken to be “Railway Assets” (as defined in the Infrastructure Lease) for the purposes of the Infrastructure Lease.

  • F This Deed regulates the rights of the Infrastructure Lessor and the Land Lessor on the one hand and Aurizon Network and the Trustee on the other in respect of the Extension Infrastructure and related assets and the Extension Infrastructure Head-Lease, but does not regulate the rights as between Aurizon Network and the Trustee which are regulated under the Other Transaction Documents.

  • Infrastructure project means any activity related to the construction, alteration, maintenance, or repair of infrastructure in the United States regardless of whether infrastructure is the primary purpose of the project. See also paragraphs (c) and (d) of 2 C.F.R. 184.4.

  • Infrastructure means infrastructure serving the County and improved or unimproved real estate and personal property, including machinery and equipment, used in the operation of the Project, within the meaning of Section 4-29-68 of the Code.

  • Infrastructure facility means a building; structure; or networks of buildings, structures, pipes, controls, and equipment, or portion thereof, that provide transportation, utilities, public education, or public safety services. Included are government office buildings; public schools; courthouses; jails; prisons; water treatment plants, distribution systems, and pumping stations; wastewater treatment plants, collection systems, and pumping stations; solid waste disposal plants, incinerators, landfills, and related facilities; public roads and streets; highways; public parking facilities; public transportation systems, terminals, and rolling stock; rail, air, and water port structures, terminals, and equipment.

  • Wireless infrastructure provider means any person, including a person authorized to provide telecommunications service in the state, that builds or installs transmission equipment, wireless facilities, or wireless support structures, but that is not a wireless services provider.

  • Infrastructure Charge means a Water Infrastructure Charge or a Sewerage Infrastructure Charge;

  • infrastructure manager means any body or undertaking that is responsible in particular for establishing and maintaining railway infrastructure, or a part thereof, as defined in Article 3 of Directive 91/440/EEC, which may also include the management of infrastructure control and safety systems. The functions of the infrastructure manager on a network or part of a network may be allocated to different bodies or undertakings;

  • Airport Ground Support Equipment means vehicles and equipment used at an airport to service aircraft between flights.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Interconnection equipment means a group of components or an integrated system owned and operated by the interconnection customer that connects an electric generator with a local electric power system, as that term is defined in Section 3.1.6.2 of IEEE Standard 1547, or with the electric distribution system. Interconnection equipment is all interface equipment including switchgear, protective devices, inverters or other interface devices. Interconnection equipment may be installed as part of an integrated equipment package that includes a generator or other electric source.

  • IT Infrastructure means software and all computers and related equipment, including, as applicable, central processing units and other processors, controllers, modems, servers, communications and telecommunications equipment and other hardware and peripherals.

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Project Equipment means the items of machinery, equipment or other personal property used in connection with the construction and development of the Project pursuant to the provisions hereof, and all replacements thereof and substitutions therefor made pursuant to this Agreement.

  • Construction Services means either of the following for construction-manager-at-risk, design-build and job-order-contracting project delivery methods:

  • energy infrastructure means any physical equipment or facility which is located within the Union or linking the Union to one or more third countries and falling under the following categories:

  • Interconnection Service(s) means any Interconnection, Resale Services, 251(c)(3) UNEs, Collocation, functions, facilities, products or services offered under this Agreement.

  • Service Equipment means any equipment, Software, systems, cabling and facilities provided by or on behalf of Verizon and used to facilitate provision of the Services at a Customer Site. Ownership of the Service Equipment does not pass to Customer. Service Equipment does not include Verizon Facilities.

  • Water Infrastructure Charge means such a charge as is described in section 146(2)(a) of the Water Industry Act 1991;

  • Green infrastructure means a stormwater management measure that manages stormwater close to its source by:

  • Generator Operator means the Person that Operates the Generating Facility and performs the functions of supplying electric energy and interconnected operations services within the meaning of the NERC Reliability Standards.

  • Water Service Connection means the pipes and fixtures used for the purpose of supplying any premises in the Municipality with water from the Corporation’s water works that is located between the Corporation’s watermain in the street and the street property line abutting the premises so supplied.

  • Leased Equipment means the computers, servers, machinery and equipment and other tangible personal property leased by Seller for use in the operation or conduct of the Business.

  • CONSTRUCTION EQUIPMENT means all appliances and equipment of whatsoever nature for the use in or for the execution, completion operation or maintenance of the work unless intended to form part of permanent work.

  • Electrical contractor means an electrical contractor as defined in the Regulations;

  • Payment Infrastructure Provider means a third party that forms part of the global payment system infrastructure, including without limitation communications, clearing or payment systems, intermediary banks and correspondent banks.

  • Rechargeable Electrical Energy Storage System (REESS) means the rechargeable energy storage system that provides electric energy for electrical propulsion.
