Borrowing Subsidiary means any Subsidiary that has been designated as such pursuant to Section 2.18 and that has not ceased to be a Borrowing Subsidiary as provided in such Section.
Borrowing Subsidiary Agreement means a Borrowing Subsidiary Agreement substantially in the form of Exhibit F-1.
Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.
Domestic Subsidiary Borrower any Subsidiary Borrower which is a Domestic Subsidiary.
Initial Borrower has the meaning specified in the preamble hereto.
Subsidiary Borrower means, individually and collectively, as the context requires, each Subsidiary that is or becomes a “Borrower” in accordance with Section 2.22; in each case, unless and until it becomes a “Terminated Subsidiary Borrower”.
Subsidiary Borrowers as defined in the preamble hereto.
Foreign Subsidiary Borrower means any Eligible Foreign Subsidiary that becomes a Foreign Subsidiary Borrower pursuant to Section 2.23 and that has not ceased to be a Foreign Subsidiary Borrower pursuant to such Section.
Initial Borrowing means the first Borrowing made pursuant to this Agreement.
Co-Borrower shall have the meaning assigned to such term in the introductory paragraph of this Agreement.
Subsidiary Loan Party means each Subsidiary of the Borrower that is a party to the Guarantee Agreement.
Additional Borrower means a company which becomes an Additional Borrower in accordance with Clause 25 (Changes to the Obligors).
Canadian Subsidiary means any Subsidiary that is organized under the laws of Canada or any province or territory thereof.
Qualified Borrower means any borrower that is a sponsoring entity that has a controlling interest in the real property that is financed by a qualified loan. A controlling interest includes, but is not limited to, a controlling interest in the general partner of a limited partnership that owns the real property.
Domestic Borrower means any Borrower organized under the laws of the United States of America or any state of the United States of America.
Foreign Borrower means any Borrower that is organized under the laws of a jurisdiction other than the Unites States, a state thereof or the District of Columbia.
Borrowing Subsidiary Termination means a Borrowing Subsidiary Termination substantially in the form of Exhibit F-2.
Original Borrower shall have the meaning set forth in the recitals hereto.
Canadian Subsidiary Guarantor each Canadian Subsidiary of any Canadian Borrower which executes and delivers the Canadian Guarantee and Collateral Agreement, in each case, unless and until such time as the respective Canadian Subsidiary Guarantor ceases to constitute a Canadian Subsidiary of the Parent Borrower or is released from all of its obligations under the Canadian Guarantee and Collateral Agreement in accordance with the terms and provisions thereof.
Subsidiary Loan Parties means (a) the Subsidiaries identified on Schedule I and (b) each other Subsidiary that becomes a party to this Agreement as a Subsidiary Loan Party after the Effective Date.
U.S. Borrower means any Borrower that is a U.S. Person.
Guarantor Subsidiary means each Guarantor other than Holdings.
Designated Borrower has the meaning specified in the introductory paragraph hereto.
Non-Guarantor Subsidiary means any Restricted Subsidiary that is not a Subsidiary Guarantor.
Canadian Borrower as defined in the preamble hereto.
Foreign Subsidiary Holding Company means any Subsidiary the primary assets of which consist of Capital Stock in (i) one or more Foreign Subsidiaries or (ii) one or more Foreign Subsidiary Holding Companies.
