Initial Reserve Reports definition

Initial Reserve Reports means each of (i) the reserve report dated as of July 1, 2006, prepared by the Borrower concerning the Oil and Gas Properties of the Borrower and its Subsidiaries that were acquired pursuant to the Xxxxxx Acquisition and (ii) the reserve report dated as of July 1, 2006, prepared by Xxxxxx & Xxxxx, Ltd., concerning the Oil and Gas Properties of the Borrower and its Subsidiaries that were acquired pursuant to the Castex Acquisition.

Initial Reserve Reports means the report of Xxxxxxxx Engineering Consultants dated February 14, 2007 with respect to the Oil and Gas Properties of the Borrower and its Subsidiaries other than Southern G as of January 1, 2007, and the final audit report of Netherland, Xxxxxx & Associates, Inc. dated April 27, 2007 with respect to the Oil and Gas Properties owned by Southern G as of January 1, 2007, copies of which have been delivered to the Agent.

Initial Reserve Reports means the report of Cxxxxx Gxxxxxxxx & Associates, Inc. dated as of June 24, 2006, with respect to the value of the Oil and Gas Properties of the Borrower and its Subsidiaries as of December 31, 2005.

Examples of Initial Reserve Reports in a sentence

• The Initial Reserve Reports do not (nor will any future Reserve Report) include Oil and Gas Properties owned by the Borrower or any of its Subsidiaries through its or their interests in Madisonville.

• All information contained in the Initial Reserve Reports is true and correct in all material respects as of the date thereof.

• Each of the Company, its Subsidiaries and the Partnerships has, as of the Closing Date, good and defensible title to the Oil and Gas Properties listed in the Initial Reserve Reports and to all of its other properties, free and clear of all Liens except Liens permitted by Section 8.08 hereof and except as disclosed in title opinions and other title verification materials delivered in connection with the Original Agreement.

• Borrower has heretofore delivered to Administrative Agent true and complete copies of the Joint Resources Reserve Report, together with a report prepared by Xxxxxx, Xxxxxxxxx & Associates dated as of December 31, 2005 (collectively, the "Initial Reserve Reports") relating to an evaluation of the Oil and Gas attributable to the Oil and Gas Properties described therein.

• The Administrative Agent shall have received the Initial Reserve Reports.

More Definitions of Initial Reserve Reports

Initial Reserve Reports means: the reports of (a) Ryder Scott Company Petroleum Engineers and McDaniel & Associates Consultants Ltd. with respecx xx Xxx and Gas Properties formerly ownex xx XXC evaluating such Properties as of January 1, 1998; (b) McDaniel & Associates Consultants Ltd. with respect to the Oil and Gas Properties of UMC Caxxxx xxaluating such Properties as of January 1, 1998; (c) Netherland, Sewell & Associates, Inc. with respect to the Oil and Gas Properties of certain Subsidiaries xx XXX named therein conducting operations in Africa evaluating such Properties as of January 1, 1998; (d) Netherland, Sewell & Associates with respect to the Oil and Gas Properties of the Company evaluating such Pxxxxxxies as of December 31, 1997; and (e) the chief petroleum engineer of the Company with respect to its Oil and Gas Properties evaluating such Properties as of December 31, 1997.

Initial Reserve Reports means the report of Schlumberger Data and Consulting Service dated as of April 30, 2005, with respect to the value of the Oil and Gas Properties of Linn Energy, L.L.C. and its Subsidiaries as of January 1, 2005.

Initial Reserve Reports means the reserve reports of (a) Xxxxx Xxxxx Company L.P. and (b) Xxxx-Ikoda Limited, in each case setting forth, among other things, (i) the Oil and Gas Properties owned by the Borrower and the Subsidiaries as of December 31, 2003 and located in the Gulf of Mexico and the Dutch Sector (in the case of the Xxxxx Xxxxx Company L.P. report) and in the UK Sector (in the case of the Xxxx-Ikoda Limited report), (ii) the Proved Reserves attributable to such Oil and Gas Properties and (iii) a projection of the rate of production and net income of such Proved Reserves as of December 31, 2003.

Initial Reserve Reports has the meaning specified in Section 6.11 and shall include, without limitation, the Joint Resources Reserve Report.

Initial Reserve Reports means the Independent Reserve Reports dated (i) February 23, 1998 by Xxxxx Xxxxx Company, (ii) February 25, 1998 by X.X. Xxxx and Associates, Inc., and (iii) February 25, 1998 by Netherland, Xxxxxx & Associates, Inc., each as of December 31, 1997, and the Independent Reserve Report dated February 12, 1998 by System Technology Associates, Inc., as of January 1, 1998.

Initial Reserve Reports means, collectively, the reserve engineers’ reports, as of July 1, 2022, prepared by Xxxxxx, Xxxxxxxxx & Associates, Inc.
