Initial Shelf Registrable Securities means the shares of Common Stock issued or issuable upon the conversion of the Notes and any additional shares of Common Stock received by the Holders with respect to such shares pursuant to a subsequent stock split, stock dividend or other recapitalization of the Company.

  • The Company shall prepare and cause to be filed as soon as practicable after the date that is one hundred eighty (180) days after the Closing Date (but not later than fifteen (15) days thereafter), the Initial Shelf Registration Statement providing for the registration of all of the Initial Shelf Registrable Securities.
