• The Company must exercise such option, no later than 15 days after the date the Offer was delivered, by written notice to the Initiating Shareholder.

• Any such Participation Transfers shall be on the same terms and conditions as the proposed Participation Transfer by the Initiating Shareholder.

• If any Shareholder of Registrable Securities, or a holder of other securities entitled (upon request) to be included in such Registration, disapproves of the terms of the underwriting, such person may elect to withdraw therefrom by written notice to the Company, the underwriter, and the Initiating Shareholder delivered at least one day before the effective date of the Registration Statement.
