Inspection Items definition

Inspection Items means copies of the following documents (to the extent in the possession or control of the Seller or Seller's Tenant):

Inspection Items means copies of the following documents, to the extent same are in Sellers' possession (which shall mean, for all purposes hereunder, to the extent same are located in the offices of SB Planning and Management Services, 33rd Floor, Seven World Trade Center, New York, New York), or, with respect to items (e) and (f) below, to the extent same are either located at the Hotels or at the offices of American General Hospitality, Inc., Sellers' manager for the Hotels ("Manager").

  • This Agreement is contingent upon Purchaser's approval of the Premises, including but not limited to, approval of the Inspection Items (as hereinafter defined).

  • Purchaser shall have a period ending October 31, 1996 to review the Inspection Items and to otherwise complete its due diligence investigation and inspection of the Premises (the "Feasibility Period").

  • The form of this Agreement shall be agreed upon by Buyex xxx Seller during the Buyer's Examination Period; provided, however, that Buyer shall be obligated to assume therein all of Seller's obligations under all the Guaranties, Warranties and Service Agreements constituting part of the Intangible Property, but only to the extent same is delivered to Buyer as part of the Inspection Items.

  • Purchaser shall have until a period of forty-five (45) days from and after March 10, 1997 to review the Inspection Items and to otherwise inspect the Premises and its or their condition (such period is hereinafter referred to as the "Feasibility Period").

  • Inspection Items 22.2 The time and place, method, frequency and items of inspections should be proposed by the Contractor according to the pertinent laws, regulations, codes, standards, specifications and the Contract to the Employer and the Engineer for approval before implementation.

  • The condition required by Buyer with regards to all Inspection Items shall be that such items be in normal working order (i.e., the Inspection Items function properly for the purpose for which they are intended) and that there are no structural defects in the improvements.

Related to Inspection Items

  • Inspections has the meaning set forth in Section 4.1.2.

  • Inspection Report means the report delivered by the Master Servicer or the Special Servicer, as the case may be, substantially in the form of Exhibit L hereto.

  • Final Inspection means the process and procedure described in UGC Section 12.1.

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • Inspection Fee means a fee payable to Lender or Loan Servicer for performing any inspection required by this Agreement in an amount not to exceed $500.00 per inspection.

  • Installation Information for a User Product means any methods, procedures, authorization keys, or other information required to install and execute modified versions of a covered work in that User Product from a modified version of its Corresponding Source. The information must suffice to ensure that the continued functioning of the modified object code is in no case prevented or interfered with solely because modification has been made.

  • Contractor’s Equipment means all apparatus, machinery, vehicles and other things required for the execution and completion of the Works and the remedying of any defects. However, Contractor’s Equipment excludes Temporary Works, Employer’s Equipment (if any), Plant, Materials and any other things intended to form or forming part of the Equipment.

  • Inspection means activities such as measuring, examining, testing, gauging one or more characteristics of the product or service and comparing the same with the specified requirement to determine conformity.

  • Client Records has the meaning set forth in Section 3.14.

  • Initial inspection means the first on-site inspection of facilities to verify declarations submitted pursuant to Articles III, IV, V and VI and this Annex.

  • Independent Verification means that an evaluation is undertaken and reported by an individual or body whose organisation, systems and procedures conform to ISO Guide 65:1996 (EN 45011:1998) General requirements for bodies operating product certification systems (as amended form time to time) or equivalent, and who is accredited to audit against forest management standards by a body whose organisation, systems and procedures conform to ISO 17011: 2004 General Requirements for Providing Assessment and Accreditation of Conformity Assessment Bodies (as amended from time to time) or equivalent.

  • Due Diligence Materials means the information to be provided by Seller to Purchaser pursuant to the provisions of Section 4.1 hereof.

  • The Site, where applicable, means the designated project place(s) named in the bidding document.

  • Punch List Items means such items (i) as are reasonably necessary or appropriate to fully complete the construction, equipping and furnishing of the Hotel in accordance with this Contract and (ii) that, unless otherwise agreed by Buyer in its sole discretion, (a) individually and in the aggregate do not and will not prohibit, cause a delay in or otherwise adversely affect, under applicable Legal Requirements, the Franchise Agreement or otherwise, the opening of the Hotel for business to the public or the continued occupancy and operation of the Hotel as contemplated under the Brand and (b) may be corrected or completed, subject to delays caused by Force Majeure, within not more than sixty (60) days.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Onsite means within the Prescribed Premises boundary.

  • Due Diligence Information means any information supplied to the Supplier by or on behalf of the Customer prior to the Call Off Commencement Date;

  • Physical Conditions Report means, with respect to the Property, a report prepared by a company satisfactory to Lender regarding the physical condition of the Property, satisfactory in form and substance to Lender in its sole discretion, which report shall, among other things, (a) confirm that the Property and its use complies, in all material respects, with all applicable Legal Requirements (including, without limitation, zoning, subdivision and building laws) and (b) include a copy of a final certificate of occupancy with respect to all Improvements on the Property.

  • Installation Site means the site at which the Product is originally installed.
