Institution Parties definition

Institution Parties means the Institution, Instructors and Participants, and any Institution employee, contractor and/or agent.

  • The parties agree to cooperate with each other and to act in good faith in examining the facts of such situations, and understand that in certain of such situations it will be appropriate for both the Fund Indemnified Parties and the Indemnified Institution Parties to contribute to effect a resolution of the matter.

  • For clarity, in the event the Institution is a school board or other entity contracting on behalf of multiple schools or education authorities under its control, the Institution shall procure and ensure, and remain fully responsible for, the full compliance with this Agreement by such schools and educational authorities and all other Institution Parties.

  • To the extent of Institution rights, Institution grants Xxxxxx Mind a non-exclusive, perpetual, unlimited, worldwide, cost-free license to use, modify, and adapt Content, and created derivative works of the foregoing, to provide the Symphony Classroom Solution to the Institution Parties, including Instructors and Participants.

  • At the request of any of the Indemnified Institution Parties, Federated shall provide for an appropriate defense against any circumstances which which give rise to indemnification by Institution under this Agreement.

  • To the extent of Institution’s rights, Institution grants Xxxxxx Mind a non-exclusive, perpetual, unlimited, worldwide, cost- free license to use, modify, and adapt Content, and created derivative works of the foregoing, to provide the Xxxxxx Solution to the Institution Parties, including Instructors and Participants.

Related to Institution Parties

  • Transaction Parties As defined in Section 5.3(o).

  • Certification Parties As defined in Section 11.09.

  • Note Parties means, collectively, the Issuer and each Guarantor.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Construction Parties means all of the Parties to a Construction Service Agreement.

  • Security Parties means at any relevant time, the Borrower, the Guarantor, the Pledgor, the Target, the Vessel Owners and any other person who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and “Security Party” means any one of them.

  • Institutional pharmacy means the physical portion of an institutional facility that is engaged in the compounding, dispensing, and distribution of drugs, devices, and other materials, hereinafter referred to as ‘drugs’, used in the diagnosis and treatment of injury, illness, and disease and which is permitted by the State Board of Pharmacy.

  • Institutional Clients means U.S. registered investment companies, or major, U.S.-based commercial banks, insurance companies, pension funds or substantially similar financial institutions which, as a substantial part of their business operations, purchase or sell securities and make use of custodial services.

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Mediation party means a person that participates in a mediation and whose agreement is necessary to resolve the dispute.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Obligors means the Borrower and the Guarantors.

  • Non-Party Affiliates has the meaning set forth in Section 10.15.

  • Certification Party As defined in Section 11.05.

  • Originators have the meaning set forth in the Purchase and Sale Agreement, as the same may be modified from time to time by adding new Originators or removing Originators, in each case with the prior written consent of the Administrative Agent.

  • Institutional Client means a major commercial bank, corporation, insurance company, or substantially similar institution, which, as a substantial part of its business operations, purchases or sells securities and makes use of custodial services.

  • Attribution Parties means, collectively, the following Persons and entities: (i) any investment vehicle, including, any funds, feeder funds or managed accounts, currently, or from time to time after the Issuance Date, directly or indirectly managed or advised by the Holder’s investment manager or any of its Affiliates or principals, (ii) any direct or indirect Affiliates of the Holder or any of the foregoing, (iii) any Person acting or who could be deemed to be acting as a Group together with the Holder or any of the foregoing and (iv) any other Persons whose beneficial ownership of the Company’s Common Stock would or could be aggregated with the Holder’s and the other Attribution Parties for purposes of Section 13(d) of the 1934 Act. For clarity, the purpose of the foregoing is to subject collectively the Holder and all other Attribution Parties to the Maximum Percentage.

  • Bank Parties means Administrative Agent and the Banks.

  • Representative Plaintiffs means Plaintiffs Xxxxx Xxxxxxx, Xxxxxxx Xxxxxxx, and Xxxxxx X. Xxxxx.

  • Institution means a higher educational institution including, but not limited to an university, a deemed to be university, a college, an institute, an institution of national importance set up by an Act of Parliament or a constituent unit of such institution, imparting higher education beyond 12 years of schooling leading to, but not necessarily culminating in, a degree (graduate, postgraduate and/or higher level) and/or to a university diploma.

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Transferee’s Principals means collectively, (A) Transferee’s managing members, general partners or principal shareholders and (B) such other members, partners or shareholders which directly or indirectly shall own a fifty-one percent (51%) or greater economic and voting interest in Transferee.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Auction Party has the meaning set forth in the definition of “Dutch Auction”.

  • Seller Affiliate means any Affiliate of Seller.
