Intermediate Common Units definition

Intermediate Common Units means Common Units of Hoya Intermediate;
Intermediate Common Units means the common units of Intermediate issued in connection with the Pre-Closing Restructuring and the Intermediate Contribution and Issuance.
Intermediate Common Units means the common units of Intermediate.

  • The Warrant Agreement provides that upon the occurrence of certain events the number of Intermediate Common Units issuable upon exercise of the Warrants set forth on the face hereof may, subject to certain conditions, be adjusted.

  • No Warrant shall be exercisable and the Company shall not be obligated to issue Intermediate Common Units upon exercise of a Warrant unless the Intermediate Common Units issuable upon such Warrant exercise have been registered, qualified or deemed to be exempt from registration or qualification under the securities laws of the state of residence of the Registered Holder of the Warrants.

  • Subject to Section 3.6 of this Agreement, a Registered Holder of Warrants may exercise its Warrants only for a whole number of Intermediate Common Units.

  • If, by reason of any adjustment made pursuant to this Section 3, the holder of any Warrant would be entitled, upon the exercise of such Warrant, to receive a fractional interest in a unit, the Company shall, upon such exercise, round down to the nearest whole number the number of Intermediate Common Units to be issued to such holder.

  • Notwithstanding the foregoing, the Company shall not be obligated to deliver any Intermediate Common Units pursuant to the exercise of a Warrant and shall have no obligation to settle such Warrant exercise unless (i) a registration statement under the Securities Act of 1933, as amended (the “Securities Act”), with respect to the Intermediate Common Units underlying the Warrants is then effective and a prospectus relating thereto is current or (ii) a valid exemption from registration is available.

Related to Intermediate Common Units

  • Common Units is defined in the Partnership Agreement.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class A Common Units means the Company's Class A Common Units.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Parent Capital Stock means the Parent Common Stock and Parent Preferred Stock.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Partnership Interests shall have the meaning specified in Section 6.3 [Subsidiaries].

  • Class B Units means the Class B Units of the Company.

  • Parent Common Stock means the common stock, par value $.001 per share, of Parent.

  • Holdco has the meaning set forth in the Preamble.

  • Parent Common Shares means the common shares of the Parent;

  • General Partner Unit means a fractional part of the General Partner Interest having the rights and obligations specified with respect to the General Partner Interest. A General Partner Unit is not a Unit.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Partnership Percentage means the percentage share of each Partner in the Net Income or Net Loss of the Partnership. The Partners’ initial Partnership Percentages shall be proportionate to the Partners’ initial Capital Contributions to the Partnership. Thereafter, subject to Section 1.68(g), such Partnership Percentages shall be adjusted only to reflect a disproportionate Capital Contribution by one or more Partners or a disproportionate distribution to one or more Partners, with disproportion being determined in accordance with Sections 4.2(a) and 4.5(b), except as set forth in Section 1.68(f).

  • General Partnership Interest means a Partnership Interest held by the General Partner that is a general partnership interest.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • Membership Units means membership interests in the Company.

  • Stock Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) of the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such, or such earlier date as a majority of the Board of Directors shall become aware of the existence of an Acquiring Person.

  • Common Unit Price has the meaning specified in Section 2.1(b).
