Investment Position definition

Investment Position means any economic interest or right acquired using the proceeds of the Loan to fund all or any portion of the Acquisition Cost. Subject to the terms and conditions of this Agreement, the Borrower may acquire an Investment Position: (a) in debt or equity securities issued by any corporation, partnership, limited partnership, limited liability company, or other legal entity; or (b) by direct acquisition of real property or tangible personal property; or (c) by acquisition at a discount of a participation in a future income stream.
Investment Position means an Investment Asset and all Securities or other property which may be exchanged for or distributed with respect to such Investment Asset, whether by the issuer of the Investment Asset or related group of Entities or any successor or successors thereto.

Examples of Investment Position in a sentence

  • The Borrower thereafter shall be entitled to deduct from the remaining proceeds of Sale or Liquidation the amount required to pay the Federal, State and Municipal income tax liability of the ultimate beneficial owners for income tax purposes (taking into account all tiering arrangements) of the Borrower arising in connection with the Sale or Liquidation of or other distribution from an Investment Position.

  • An advance of Loan proceeds for the purpose of acquiring a Premium Rate Investment Position is referred to in this Agreement as a "Premium Rate Advance".

  • The Borrower shall be entitled to request advances of Loan proceeds to pay such Pre-Funding Acquisition Costs provided that they do not exceed, as to any Investment Position, $50,000 or 75% of the anticipated Carrying Cost of the Investment Position, whichever is less.

  • An advance of Loan proceeds for the purpose of acquiring an Investment Position that the Borrower does not designate as a Premium Rate Investment Position is referred to in this Agreement as a "Standard Rate Advance".

  • Any notice of reclassification of an Investment Position to an Investment Position that is not a Premium Rate Investment Position shall be accompanied by copies of the Borrower's analysis of the basis for such reclassification and the supporting documentation for such analysis.

  • The Supplemental Security Documents shall include, but shall not necessarily be limited to, such new mortgages, deeds of trust, assignments of rents, leases and profits, security agreements, pledge agreements, financing statements and other security documents as the Lender may require to create and perfect a valid first priority security interest in the Investment Position.

  • The data published by Eurostat for Balance of Payments, International Investment Position, International Trade in Services and Foreign Direct Investment Statistics are mostly based on the data transmissions by the EU Member States and other European countries.

  • This information is needed for the preparation of the U.S. Balance of Payments Accounts and the U.S. International Investment Position, as well as for the formulation of U.S. international financial and monetary policies.

  • This recommendation is consistent with the valuation principles of trade in goods in the Balance of Payments and International Investment Position Manual, sixth edition (BPM6).

  • Investment pool means an entity created under the Texas Gov- ernment Code to invest public funds jointly on behalf of the entities that participate in the pool and whose investment objectives in or- der of priority are preservation and safety of principal, liquidity, and yield.

  • Permanent Position Any position which has required, or which will require the services of an incumbent without interruption, for an indefinite period.

  • Equivalent position means an employment position that:

  • Call Equivalent Position shall have the meaning set forth in Rule 16a-1(b) under the Exchange Act.

  • relevant position , in relation to a business, means the position of director or manager, or other executive position, however that position is designated;

  • Put Equivalent Position shall have the meaning set forth in Rule 16a-1(h) under the Exchange Act.

  • Investment Strategy is the processes and policies implemented by the Investment Manager for pursuing a particular investment objective managed by an Investment Team.

  • Matched Positions for CFD trading shall mean Long and Short Positions of the same Transaction Size opened on the Client Account for the same CFD.

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Investment Portfolio means invested assets (including cash and cash equivalents, short-term investments, bonds or other fixed income securities and equity investments).

A Synthetic Long Position shall not include any interests, rights, options or other securities set forth in Rule 16a-1(c)(1)-(5) or (7) of the General Rules and Regulations under the Exchange Act.

  • Queue Position means the priority assigned to an Interconnection Request, a Completed Application, or an Upgrade Request pursuant to applicable provisions of Tariff, Part VI.

  • Investment Policies means the investment objectives, policies, restrictions and limitations set forth in the “BUSINESS” section of its Registration Statement, and as the same may be changed, altered, expanded, amended, modified, terminated or restated from time to time.

  • Cash Position means the Company’s level of cash and cash equivalents.

  • Excess Ownership Position means any of the following: (i) the Equity Percentage exceeds 9.0%, (ii) Dealer or any “affiliate” or “associate” of Dealer would own in excess of 14.0% of the outstanding Shares for purposes of Section 203 of the Delaware General Corporation Law or (iii) Dealer, Dealer Group (as defined below) or any person whose ownership position would be aggregated with that of Dealer or Dealer Group (Dealer, Dealer Group or any such person, a “Dealer Person”) under any federal, state or local laws, regulations or regulatory orders applicable to ownership of Shares (“Applicable Laws”), owns, beneficially owns, constructively owns, controls, holds the power to vote or otherwise meets a relevant definition of ownership in excess of a number of Shares equal to (x) the number of Shares that would give rise to reporting or registration obligations (except for any filings of Form 13F, Schedule 13D or Schedule 13G under the Exchange Act) or other requirements (including obtaining prior approval by a state or federal regulator) of a Dealer Person under Applicable Laws and with respect to which such requirements have not been met or the relevant approval has not been received minus (y) 1% of the number of Shares outstanding on the date of determination. The “Equity Percentage” as of any day is the fraction, expressed as a percentage, (A) the numerator of which is the number of Shares that Dealer and any of its affiliates or any other person subject to aggregation with Dealer, for purposes of the “beneficial ownership” test under Section 13 of the Exchange Act, or of any “group” (within the meaning of Section 13) of which Dealer is or may be deemed to be a part (Dealer and any such affiliates, persons and groups, collectively, “Dealer Group”), beneficially owns (within the meaning of Section 13 of the Exchange Act), without duplication, on such day and (B) the denominator of which is the number of Shares outstanding on such day (including, solely for such purpose, Shares that would be deemed outstanding pursuant to the last sentence of Rule 13d-3(d)(1)(i) if such sentence were applicable to the calculation of clause (B) of the definition of Equity Percentage).

  • Investment Adviser or "Adviser" means a party furnishing services to the Trust pursuant to any contract described in Article IV, Section 7(a) hereof;

  • Investment Advisor means, in relation to a Portfolio, the investment manager or investment advisor of the Portfolio.

  • Investment Company Event means the receipt by the Debenture Issuer and the Trust of an opinion of counsel experienced in such matters to the effect that, as a result of the occurrence of a change in law or regulation or written change (including any announced prospective change) in interpretation or application of law or regulation by any legislative body, court, governmental agency or regulatory authority, there is more than an insubstantial risk that the Trust is or, within 90 days of the date of such opinion, will be considered an Investment Company that is required to be registered under the Investment Company Act which change or prospective change becomes effective or would become effective, as the case may be, on or after the date of the issuance of the Debentures.

  • Covered position means a position in which the employee must be a member of the retirement
