IPO Lockup Agreement definition

IPO Lockup Agreement means with respect to any IPO, any agreement between the underwriters of the public offering, PubCo, and persons who immediately prior to the IPO hold equity securities of PubCo or the Company, restricting the sale or disposition of such equity securities (or the IPO transaction-related proceeds thereof) for a defined period following the effective date of the IPO or related registration statement.
IPO Lockup Agreement means one or more agreements between one or more underwriters in the IPO and the Issuer’s stockholders (including the beneficial owners of the Notes) restricting transfers or sales of the Common Stock owned by them for a period not to exceed 180 days following the pricing date of an IPO.
IPO Lockup Agreement means with respect to any IPO, any agreement between the underwriters of the public offering, the Company or other issuer, and persons who immediately prior to the IPO hold equity securities of the Company or an Upstream Public Affiliate, restricting the sale or disposition of such equity securities (or the IPO transaction-related proceeds thereof) for a defined period following the effective date of the IPO or related registration statement.

  • The Company represents and warrants that the IPO Lockup Agreement (as defined below) is identical to the lockup agreements that have been or will be executed by all directors, officers and those persons and entities that, as of the date of this Agreement, hold more than one percent of the outstanding shares of Common Stock (as defined below) on a fully diluted basis (collectively, "RESTRICTED PARTIES").
